The term "Compliance Period" means any period of time after the date hereof when (i) no Default has occurred and is continuing, and (ii) the Daily Average Price on the Relevant Exchange of all of the Purchase Shares and all of the Collateral Shares is equal to or greater than 125% of the amount that would be payable to the Purchaser on the relevant date if a final and complete Physical Settlement was occurring on such date.
