The Developer agrees to pay and discharge, promptly and when the same shall become due, all general real estate taxes, and all applicable interest and penalties thereon, that at any time shall become due and payable upon or with respect to, or which shall become liens upon, any part of the Development Project Site.
Concurrently with the submittal of the Design Proposal for review, the Developer shall further file with the City a completed application for a special use permit to permit the use of the Development Project Site for a “commercial PUD/shopping center”, including related shopping center signage, under the applicable provisions of the Urbana Zoning Ordinance, as amended.
Enron Marks may appear on some of the assets of SWP or any Subsidiary, including signage at the Operating Facility and the Development Project Site, and on supplies, materials, stationery, brochures, advertising materials, manuals and similar consumable items of SWP and any Subsidiary.
Buyer shall, (i) within ninety (90) days after the Closing Date, remove the Enron Marks from the assets of SWP and any Subsidiary, including signage at the Operating Facility and the Development Project Site, and provide written verification thereof to Seller promptly after completing such removal and (ii) within two (2) weeks after the Closing Date, return or destroy (with proof of destruction) all other assets of SWP and any Subsidiary that contain any Enron Marks that are not removable.
EXHIBIT A Description of Development Project Site THIS REDEVELOPMENT AGREEMENT (including any exhibits and attachments hereto, collectively, this “Agreement”) is made and entered into as of February 1, 2005, but actually executed by each of the parties on the dates set forth beneath their respective signatures below, by and between the City of Urbana, Champaign County, Illinois, an Illinois municipal corporation (the “City”), and Blackrock Properties, Inc., an Illinois corporation (the “Developer”).
The City hereby covenants and agrees to sell, transfer and convey by warranty deed on or before May 15, 2005 title to the City Real Estate located within the Development Project Site for a purchase price of $26,000.00, adjusted by prorations and credits for real estate taxes and title exceptions, if any.
Nothing in this Article 5 shall be construed to permit Buyer or its representatives to have access to any files, records, contracts, or documents of Seller or SWP or any Subsidiary relating to this Agreement or the contemplated transaction, including any bids or offers received by Seller or SWP or any Subsidiary for the sale of the LLC Interests or the Operating Facility or the Development Project Site, it being agreed that all such bids or offers shall be the sole property of Seller.
The Developer, including any others claiming by the through it, agrees to pay and discharge, promptly and when the same shall become due, all general real estate taxes, and all applicable interest and penalties thereon, that at any time shall become due and payable upon or with respect to, or which shall become liens upon, any part of Development Project Site.
The Developer is the sole owner of the Development Project Site and has full power and authority to execute and deliver this Agreement and to perform all of its agreements, obligations and undertakings hereunder.
The City shall have the obligations set forth in this Section 3.1 relative to financing Eligible Costs at the Development Project Site.
