Dispute Resolver definition

Dispute Resolver means an independent accounting firm mutually acceptable to Seller and Purchaser. All determinations under this Agreement made by a Dispute Resolver shall be binding upon Purchaser and Seller.

  • At the conclusion of the procedures described in Sections 9.3(b) and 9.3(c), the Escrowed Funds shall be disbursed to the Claiming Party or the Responding Party, as the case may be, based upon the findings of and determinations by the Dispute Resolver and HLH&Z, as the case may be, under such sections.
