DISSOLUTION OR TERMINATION definition

DISSOLUTION OR TERMINATION shall be deemed to have occurred (i) in the case of a corporate Partner or other person upon the earlier of the adoption of a plan of liquidation by such Partner or other person or the effective date of dissolution in accordance with applicable statutory law and (ii) in the case of a partnership Partner or other person, upon the date of dissolution or termination of such partnership in accordance with the provisions of the governing partnership agreement or applicable statutory law.
