The Installed Programs and Embedded Programs are collectively referred to as the “Software”.
Customer may install and use copies of the Software in object code format only, in a number equal to the quantity of Equipment purchased from MCC, and may make one (1) copy of the Installed Programs (as defined below) for archival purposes only and no copies of Embedded Programs (as defined below) for any purpose whatsoever.
Notwithstanding anything to the contrary herein, Licensee’s access to and use of the Embedded Programs shall be and remain subject to all terms, conditions and licenses imposed by the manufacturers and/or third party licensors (“Licensors”) of such Embedded Programs and Licensee shall comply with same.
Embedded Programs may be used only in conjunction with the Licensed Software.
You are responsible for making certain that any such implement is legal.
If you have not ordered Package Programs or paid for Embedded Programs or Manufactured Programs for the total committed volume of Programs specified in the Transaction Document by forty-five (45) days prior to the end of each term IBM may invoice you for the remaining balance.
Customer shall have no right to use such Embedded Programs other than as necessary for the licensed ordinary use of the Licensed Programs.
Without limiting the generality of the foregoing, Licensed Software delivered subject to the DOD FAR Supplement is “commercial computer software” and use, duplication and disclosure of same, including documentation, shall be subject to the licensing restrictions set forth herein and, with respect to the Embedded Programs, all applicable third party license agreements.
