The Company, Prudential and the Existing Holders desire to enter into this Agreement so as to, among other things, (i) amend and restate the Existing Note Agreement to read as set forth herein and (ii) provide that the Existing Series A Notes and the Existing Series B Notes shall be deemed to be outstanding under and subject to the terms of this Agreement.
If requested by any holder of the Series B Notes, the Company will issue a replacement Series B Note or Series B Notes in favor of each record holder of an Existing Series B Note or Existing Series B Notes for such holder’s Existing Series B Note or Existing Series B Notes.
The Company has previously authorized the issue of, and sold to the Purchasers, its senior promissory notes (herein called the "Existing Series B Notes") in the aggregate principal amount of $18,000,000, dated September 23, 1993, maturing on August 31, 2005.
Subject to satisfaction of the conditions set forth in Section 3, the Existing Series A Notes and Existing Series B Notes are hereby, without any further action required on the part of any other Person, deemed to be automatically amended to conform to and have the terms provided in Exhibit B and Exhibit C, as applicable, attached hereto (except that the principal amount, the date and the payee of each Note shall remain unchanged).
The Existing Series A Notes and Existing Series B Notes are collectively referred to as the “Existing Notes”.
