Calculation of the Incremental Amount shall be made on a Pro Forma Basis (giving effect, for purposes of clause (2b) of the Incremental Amount, to the use of proceeds of any relevant Incremental Facility) and evidenced by a certificate from a Responsible Officer of the Borrower demonstrating such calculation in reasonable detail.

Incremental Amount means, at any time, the excess, if any, of (a) $75.0 million over (b) the aggregate amount of all Incremental Commitments established prior to such time pursuant to Section 2.17.
