This Agreement, the CVR Agreement, the Initial Declaration of Trust, the Declaration of Trust and the Confidentiality Agreement constitute the entire agreement between the parties with respect to the subject matter hereof and thereof and supersede all prior agreements, understandings and negotiations, both written and oral, and including, without limitation, the June 29 Merger Agreement, between the parties with respect to the subject matter hereof and thereof.
This Declaration is intended to amend and restate in its entirety the Initial Declaration.
This Agreement, the CVR Agreement, the Initial Declaration of Trust and the Declaration of Trust have been approved by the Board of Directors of the Company, and no other corporate proceedings on the part of the Company are necessary to authorize the execution and delivery of any such agreement or, except for the Company Stockholder Approval (if required by the DGCL), the consummation by the Company of the transactions contemplated hereby and thereby.
This Declaration shall not constitute a novation of the obligations and liabilities existing under the Initial Declaration or evidence fulfillment or termination of any such obligations and liabilities.
The relative rights and preferences of each Initial Series and each Class thereof are as set forth in the Initial Declaration of Trust and as set forth in the Trust’s registration statement or statements as filed with the Commission, as from time to time in effect.
