IP Assignment and Assumption Agreements definition

IP Assignment and Assumption Agreements has the meaning set forth in Section 1.10.
IP Assignment and Assumption Agreements means the intellectual property assignment and assumption agreements for Intellectual Property and rights in Intellectual Property owned by the Sellers and that are used or held for use in or otherwise relate to the Acquired Business, in a form reasonably satisfactory to each of the Sellers and the Buyer.
IP Assignment and Assumption Agreements has the meaning set forth in Section 2.5(b). “IRC” means the Internal Revenue Code of 1986, as amended.

IP Assignment and Assumption Agreements means each of the Patent Assignment, the Trademark Assignment and the Domain Name Assignment, in each case, to be executed by Seller and Buyer (or its designee) substantially in the forms attached as Exhibit C-1, Exhibit C-2 and Exhibit C-3, respectively.

Related to IP Assignment and Assumption Agreements

  • Assignment and Assumption Agreements means each of the Assignment and Assumption Agreements to be executed between a Trustee and trustee of the relevant Successor Trust in accordance with the relevant Trust Agreement, as the same may be amended, modified or supplemented from time to time.
