Managed Entities definition

Managed Entities means the Persons to whom RMR, directly or indirectly, provides management services.
Managed Entities means NRF and all other entities that have entered into an asset management agreement or a similar investment advisory contract with NSAM or one or more of its subsidiaries.
Managed Entities means any Person for which the Borrower or any of its Affiliates provides or intends to provide management or administrative services, excluding each of the Excluded Subsidiaries (other than the Captive Insurance Subsidiaries).

  • The Manager shall prepare from time to time a statement documenting the expenses of the Managed Entities and the expenses incurred by the Manager on behalf of the Managed Entities and shall deliver such statement to the Managed Entities.

  • The Manager shall discharge its duties under this Agreement with the same degree of skill, care, and diligence as it uses in the administration of its other clients, but shall not be obligated to treat the Managed Entities more favorably than or preferentially to its other clients, or where applicable any of its other businesses, except to the extent otherwise required by applicable law.

  • The sole business activity of the Captive Insurance Subsidiaries is providing insurance coverage for the Borrower, its Affiliates, the other Excluded Subsidiaries, the Managed Entities and transportation providers.


More Definitions of Managed Entities

Managed Entities means Persons (other than Subsidiaries) where the Company or its Subsidiaries fully operate all aspects of the business of such Persons through management service or other Contracts.

The foregoing financial statements shall not be materially inconsistent with the forecasts and unaudited financial statements provided to the Arranger Group as of the effective date of the Commitment Letter. The forecasts and unaudited financial statements included in the Final Disclosure Statement shall not be materially inconsistent with the forecasts and unaudited financial statements provided to the Arranger Group as of the effective date of the Commitment Letter.
Managed Entities means any Person that is party to a management agreement with any Company whereby such Company manages such Person.
Managed Entities means any fund or managed account which is managed and/or advised by a member of the Group;
