Maximum Total Payment definition

Maximum Total Payment has the meaning given in the Auction Procedures.
Maximum Total Payment means Tyco’s total payment of the Settlement Amount of $750,000,000 in accordance with Sections
Maximum Total Payment means Tyco’s total payment of the Settlement Amount of $750,000,000 in accordance with Sections 3.1 and 6 of the Settlement Agreement, including without limitation all attorneys’ fees, costs, and expenses. For the avoidance of doubt, under no circumstances shall Tyco or the TFP QSF be liable for any amount more than the Maximum Total Payment of $750,000,000. Each date in the Table reflects the earliest possible payment date for each payment from Tyco, subject to the following constraints. The First Payment shall be due and payable on the later of: May 28, 2024 or ten days after Preliminary Approval. The Last Payment shall be due and payable on the later of: October 15 or six months after the Court grants Preliminary Approval, provided, however, Tyco has not already paid the Maximum Total Payment by that date by way of Insurance Payment(s).

  • If this Contract is for LESS THAN $5,000 (as shown in Section 4 (Maximum Total Payment; Payment Method)) and Contractor is providing (i) student tutoring services, (ii) professional consultation services, or (iii) theater or performing arts preparation or training, then Contractor shall maintain general liability insurance coverage of at least $250,000 for each claim, incident, or occurrence, and at least $500,000 annual aggregate coverage.

  • Unless otherwise specified in Section 3, "Maximum Total Payment; Payment Method," District shall pay Contractor net 30 days upon invoice approval and work acceptance.

  • The Exhibits to this Contract include the following documents: Reimbursable Expenses; Maximum Total Payment; Invoicing.

  • If this Contract is for MORE THAN $5,000 (as shown in Section 4 (Maximum Total Payment; Payment Method)) and the services provided are anything other than those mentioned in Section 29.c.1, then Contractor shall maintain general liability insurance coverage of at least $1,000,000 for each claim, incident, or occurrence, and at least $2,000,000 annual aggregate coverage.

Related to Maximum Total Payment

  • Total Payment shall have the meaning set forth in Section 2.4(a).

  • Total Payments means those payments so described in Section 6.2 hereof.

  • Maximum Put Amount means the lesser of (i) Two Hundred Fifty Thousand Dollars ($250,000), or (ii) Two Hundred Fifty percent (250%) of the average of the Dollar Volume for the twenty (20) Trading Days immediately preceding the Put Date.

  • Annual Payment The total amount payable to the Settlement Fund Administrator by the Settling Distributors on the Payment Date each year, as calculated by the Settlement Fund Administrator pursuant to Section IV.B.1.e. For the avoidance of doubt, this term does not include the Additional Restitution Amount or amounts paid pursuant to Section X.

  • Total Payments Made shall have the meaning set forth in Section 8.1 of this Agreement.
