Maximum Put Amount definition

Maximum Put Amount means the lesser of (i) Two Hundred Fifty Thousand Dollars ($250,000), or (ii) Two Hundred Fifty percent (250%) of the average of the Dollar Volume for the twenty (20) Trading Days immediately preceding the Put Date.
Maximum Put Amount means, with respect to any Put, the lesser of (a) One Million Dollars ($1,000,000), or (b)One Hundred Fifty (150%) percent of the Weighted Average Volume for the fifteen (15) trading days immediately preceding each of the Put Date and the Closing Date.
Maximum Put Amount means that the lesser of (i) such amount that equals two hundred percent (200%) of the Average Daily Trading Volume, and (ii) Five Hundred Thousand Dollars ($500,000.00).

Examples of Maximum Put Amount in a sentence

  • Following the Put Date in respect of any Put, at any time during the Valuation Period relating to such Put, the Company and Investor may agree to increase the amount of Put Shares relating to such Put up to 10 times the Maximum Put Amount.

  • Notwithstanding the foregoing, the Company and the Investor may agree in respect of any Put that the amount of Put Shares in respect of such Put may exceed the applicable Maximum Put Amount.


More Definitions of Maximum Put Amount

Maximum Put Amount means, with respect to any Put, the amount determined in accordance with Section 2.2.
Maximum Put Amount means, with respect to any Put, Two Hundred Fifty (250%) percent of the Weighted Average Volume for the twenty (20) trading days immediately preceding the Put Date.

Maximum Put Amount means that the lesser of (i) such amount that equals five hundred percent (500%) of the Average Daily Trading Volume for the ten (10) trading days prior to the Closing Request Date, and (ii) Two Million Dollars ($2,000,000.00).; In addition to the Initial Put, the Investor further agrees to allow the Company to issue additional Put Notices upon the Registration Statement being deemed effective by the SEC. Notwithstanding the foregoing, upon obtaining Stockholder Approval, the Company may submit a Put Notice for Up to $2,000,000.
