Measurement Value definition

Measurement Value means the average of the daily closing prices for a share of Stock for the 20 trading days ending on the fifth business day prior to the date of payment of Performance Shares for an Award Period or an Interim Period, as the case may be, on the Composite Tape for the New York Stock Exchange — Listed Stocks, or, if the stock is not listed on such Exchange, on the principal United States securities exchange registered under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), on which the stock is listed, or, if the stock is not listed on any such Exchange, the average of the daily closing bid quotations with respect to a share of the stock for such 20 trading days on the National Association of Securities Dealers, Inc., Automated Quotations System or any system then in use, or, if no such quotations are available, the fair market value of a share of Stock as determined by a majority of the Board of Directors; provided, however that if a Change in Control shall have occurred, then if no such quotations are available, such determination shall be made by a majority of the Incumbent Board (as defined in the Change in Control definition above).
Measurement Value means (i) if the applicable Average Fair Market Value is equal to or less than 75% of the Initial Value, 75% of the Initial Value, (ii) if the applicable Average Fair Market Value is greater than 75% of the Initial Value but less than 200% of the Initial Value, the applicable Average Fair Market Value, or (iii) if the applicable Average Fair Market Value equals or exceeds 150% of the Initial Value, 150% of the Initial Value.
Measurement Value means, in respect of an Equity Appreciation Award, the value of an Interest underlying an Award as determined by the Committee, in good faith, in its discretion. The Initial Measurement Value of an Interest covered by an Award will be $15.82 (or such higher amount as may be determined by the Committee on the Date of Grant), subject to adjustment for splits and similar events in accordance with Section 4.2 hereof. The Final Measurement Value will be the value of an Interest underlying an Award as determined by the Committee as of the date of the Liquidation Event; provided, however, that in no event shall the Final Measurement Value of an Interest exceed $26.31, subject to adjustment for splits and similar events in accordance with Section 4.2 hereof.

  • The Billing Factor in MWh shall be: ABS(Intentional Deviation Measurement Value – Resource Schedule) – 1 Minutes of schedule divided by 60 minutes ABS = the absolute value of the term in parentheses.

  • ABS(Intentional Deviation Measurement Value Error) = the absolute value of the Station Control Error that would have resulted from a schedule that was set equal to the resource’s applicable Intentional Deviation Measurement Value.

  • As of the Effective Time, any Company Option with an exercise price equal to or greater than an amount equal to the Measurement Value shall be cancelled without consideration and be of no further force and effect.

  • The Board may also make such adjustments in the number of SARs covered by, and the Initial Measurement Value of any outstanding SAR Awards in the event of a spin-off or other distribution (other than normal cash distributions) of Company assets to Shareholders.


More Definitions of Measurement Value

Measurement Value has the meaning set forth in Section 2.4(a).

Related to Measurement Value

  • Daily Measurement Value means the Specified Dollar Amount (if any), divided by 40.

  • Settlement Value means the amount which the holder of a Contract may receive for a Contract held until Expiration. The Settlement Value of a Binary Contract is $100. The Settlement Value of a Variable Payout Contract is determined as described in the definitions of Long and Short Variable Payout Contracts.

  • Current Value shall have the meaning set forth in Section 11(a)(iii) hereof.

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • Procurement Value means the estimated total financial commitment resulting from procurement, taking into account optional extensions.
