The contract for consultancy services related to ▇▇▇▇▇▇ Coal Mine for Preparation of Detailed Project Report (DPR), Demarcation of periphery, advice on various statutory clearances / approvals, tender processing for selection of Mine Developer and Operator (MDO) etc.
The Mine Developer and Operator shall provide such assistance as the Independent Engineer may reasonably require for conducting the Tests.
The TANGEDCO makes no representation whatsoever, express, implicit or otherwise, regarding the accuracy, adequacy, correctness, reliability and/ or completeness of any assessment, assumption, statement or information provided by it and the Mine Developer and Operator confirms that it shall have no claim whatsoever against TANGEDCO in this regard.
If the Independent Engineer certifies to TANGEDCO and the Mine Developer and Operator that because of events or circumstances on account of which the Tests could not be held or had to be suspended, the Mine Developer and Operator shall be entitled to re-schedule the Tests and hold the same as soon as reasonably practicable.
In the event, any such contrary or inconsistent term/s is/are found in any of the Project Agreements entered into or to be entered into by Mine Developer and Operator with any third party, then the Mine Developer and Operator shall immediately procure amendment / rectification of such Project Agreements to that extent.
Provided that, in the event such delay in occurrence of the CP Completion Date is for reasons attributable to the Mine Developer and Operator, TANGEDCO shall, without prejudice to Clause 4.2, be entitled to appropriate the Performance Security as Damages thereof.
However, TANGEDCO shall have a right to seek from the Mine Developer and Operator certified copies of any other contract or agreement (apart from the Project Agreements) along with any amendments thereto, that may have been entered into by the Mine Developer and Operator for fulfillment of its Obligations under this Agreement.
If the Independent Engineer determines that the Mines and Equipment or any part thereof do not conform to the provisions of this Agreement, it shall forthwith make a report in this behalf and send copies thereof to the TANGEDCO and the Mine Developer and Operator.
Within 30 (thirty) days of receipt of such bills, TANGEDCO shall disburse to the Mine Developer and Operator such amounts as are reasonable and in the event of any Dispute, final adjustments thereto shall be made under and in accordance with the Dispute Resolution Procedure.
The Mine Developer and Operator shall at all times conform with the provisions of the Mining Plan/ Revised Mining Plan as specified in Schedule-D or any modification thereof, as may be approved in accordance with Applicable Laws.
