MLS, Participant, and AVP agree that a breach of this Agreement will result in immediate and irreparable injury and harm to MLS.
In exchange for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, MLS, Participant, and AVP agree as follows.

Consultant shall defend, indemnify, and hold harmless HiCentral MLS, Participant Party, Subscriber Party, or customers of HiCentral MLS, Participant Party, or Subscriber Party, to whom Consultant provides a product or service using HiCentral MLS Data, against any and all losses, damages, and costs (including reasonable attorneys’ fees) arising from any third party claim of patent infringement.
Indemnification of MLS Participant, or Subscriber, shall defend, indemnify and hold harmless the MLS, its officers, managers, members, employees, agents and representatives against any and all claims based upon listings or listing information supplied to MLS by the Participant or arising out of the incomplete, inaccurate, or incorrect input of information or data into the system by Participant and/or Subscriber, and/or as otherwise specifically provided for in these Rules and Regulations.
If there is no exclusive right to sell or exclusive agency listing agreement on a property, but the sale of the property has closed and the selling broker is an MLS Participant, the property may be entered into the MLS for comparable information as long as the buyer or seller's permission has been given for the property to be included in the MLS comparables.
In response to an address specific inquiry from a MLS Participant or Subscriber, MLS will disclose whether or not a listing for a property with that address has been filed as an Exempted Listing with MLS, but will not disclose any information about the listed property.
