  • Throughout the Service Module Terms (including any extensions or renewals, if applicable), State Street will seek to improve the quality, efficiency and effectiveness of the Services to keep pace with technological advances and support the evolving business needs and efforts of each BTC Recipient to maintain competitiveness in the markets in which such BTC Recipient competes.

  • Except where otherwise specified in Item 37 of the Order Form or in the applicable Module Terms, the licences granted under clauses 17.2 and 17.4 will be perpetual in relation to the purposes specified in those clauses.

  • During the period set out in the PO (the Support Period), the Supplier must perform the maintenance and support obligations set out in the PO and these Module Terms (Maintenance and Support) in respect of the Supplies identified in the PO (Maintained Supplies) in accordance with this Agreement.

  • In the event of a conflict between these General Terms, any Special Module Terms and/or any Order Form, the order of precedence shall be: clause 6 of these General Terms (which shall always prevail), then the Special Module Terms (in respect of the Products and/or Data to which they apply), the General Terms, the Order Form then any other document forming part of the Agreement, save that where an Order Form expressly modifies a specific term, the Order Form shall prevail in that respect only.

  • If there is an inconsistency between one or more of the documents which constitute the Agreement, the order of precedence will be: (a) any applicable Module Terms; (b) these Head Terms; (c) the PO (including any associated SOW); (d) a document expressly incorporated by reference in this Agreement (other than in the PO or SOW); and (e) a document expressly incorporated by reference in the PO or SOW.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • End User Agreement means any agreement that Eligible Users are required to sign in order to participate in this Contract, including an end user agreement, customer agreement, memorandum of understanding, statement of work, lease agreement, service level agreement, or any other named separate agreement.

  • Service Terms means the service terms specific to each Service set forth herein and made a part of this Agreement upon the date you elect to register for or use the applicable Service and any subsequent modifications we are permitted to make to those terms.

  • User Agreement means an agreement for the provision of Access to the Services.
