All amounts withheld from such Noteholder, Agent Member or Beneficial Holder pursuant to Section 2.5(d) shall be deposited in such Escrow Account and shall be held in such Escrow Account until such amounts are distributed as provided in Section 2.5(d).

Any Paying Agent shall be appointed by the Noteholder Agent with written notice thereof to the Indenture Trustee.
