Examples of Ordered Items in a sentence
Prices for all Ordered Items will be as stated in the Purchase Order, and include all applicable federal, state, provincial and local taxes; provided, however, that in no event will the price charged by Seller under the Agreement be less favorable than the lowest price charged by Seller to other customers purchasing similar or lesser quantities of the Ordered Items.
Payment terms for all Ordered Items will be as stated in the Purchase Order.
Payment for the Ordered Items does not constitute acceptance thereof.
Buyer or any accredited third party auditor shall be entitled, upon reasonable prior notice to Seller, to enter and inspect Seller’s facilities, and that of any sub-tier suppliers, to review parts, processes, tooling, equipment, and related paperwork relating to the Ordered Items or compliance with the Agreement.
Seller shall not, without first obtaining the express written consent of Buyer, in any manner advertise or publish the fact that Seller has supplied or contracted to supply to Buyer the Ordered Items, except if and to the extent that Seller is required to make any public disclosure or filing regarding the subject matter of the Agreement pursuant to applicable law, rules or regulations.
In the event of such cancellation, Buyer shall pay for all Ordered Items delivered and completed in compliance with the Agreement and all applicable specifications.
If the price is not stated in the Purchase Order, the Ordered Items shall be billed at the price last requested by Buyer, or billed at the prevailing market price, whichever is lower.
Ordered Items supplied in excess of the quantities specified in the Purchase Order may be returned to Seller at Seller’s expense.
Should Seller change the Ordered Items without prior written approval from Buyer, without waiving any other rights against Seller, Buyer shall not be liable for charges related to such changes.
Any change to the Ordered Items set forth in the Purchase Order shall be approved in writing by Buyer before the Seller implements any such change.
