Overlap Territory definition

Overlap Territory means that portion of the Territory in which a ----------------- Person or its Affiliates (other than AT&T PCS and its Affiliates) that is party to a transaction meeting the description of a transaction set forth in clauses (a), (b) and (c) of the definition of a Disqualifying Transaction owns an FCC License to offer Commercial Mobile Radio Services.
