Pass Through Basis definition
Pass Through Basis whether or not capitalized, shall mean at Supplier’s actual, direct out-of-pocket cost without ▇▇▇▇-up or administrative or service fee of any kind.
Pass Through Basis shall have the meaning specified in Section 3.05(b).
Pass Through Basis means:
(i) in respect of a Shared RemainCo Contract, where (and for so long as) paragraph 1.2 of Schedule 11 applies to such Shared RemainCo Contract;
(ii) in respect of a Transferring RemainCo Contract, where (and for so long as) paragraph 2.3 of Schedule 11 applies to such Transferring RemainCo Contract;
(iii) in respect of a Shared InfraCo Contract, where (and for so long as) paragraph 3.2 of Schedule 11 applies to such Shared InfraCo Contract; and
(iv) in respect of a Transferring InfraCo Contract, where (and for so long as) paragraph 4.3 of Schedule 11 applies to such Transferring InfraCo Contract;

Pass Through Basis means that the occupation of any Leased Property by the HLI Affiliated Group shall be subject to all provisions and restrictions contained in, including the term of, the primary lease and the rental payments due from the HLI Affiliated Group shall be based upon the pro rata occupation of the space in such Leased Property, with an additional reasonable allocation to be made with respect to any common areas to which the HLI Affiliated Group has access.

Pass Through Basis means the reimbursement of the actual, direct costs, including any taxes, after giving effect to any credits, rebates, price reductions or other offsets arising from the provision of Services to SBC, incurred by WilTel in provisioning an Off-Net Service under this Agreement through a Third Party carrier, which for these purposes shall include any SBC Affiliate from whom WilTel purchases telecommunications services, or an allocation of such costs between SBC and WilTel shall be determined in accordance with the allocation methodologies in effect on February 9, 2005 and used in the preparation of Schedule A8, or as otherwise agreed to in writing by the Parties. The allocation methodologies used in the preparation of Schedule A8 are designed so as not to provide WilTel with any direct or indirect profit margin in the aggregate. The actual, direct or allocated cost of an Off-Net Service is not based exclusively upon tariff pricing, but rather (a) in cases in which SBC uses the entire Off-Net Service, the amount invoiced by the Third Party Provider (including an SBC Affiliate as described above) to WilTel, or (b) in the case in which SBC uses a part of the Off-Net Service, in accordance with the pricing methodology set forth in the applicable Schedules to this Agreement or as otherwise agreed to in writing by the Parties.
