Performance Based Options definition

Performance Based Options mean has the meaning ascribed to it in Section 3.4(a)(ii);
Performance Based Options has the meaning ascribed to such term in Section 1.5(a).
Performance Based Options has the meaning specified in Section 2 of this Agreement.

Examples of Performance Based Options in a sentence

  • Following a Change in Control, the Undetermined Performance Based Options that accelerate vesting pursuant to this provision shall remain subject to acceleration of vesting as provided in Section 3(e) based on achievement of the Performance Goals.

  • Employee shall not be entitled to purchase any Performance Based Option Shares which underlie Performance Based Options for Bonus Periods which are subsequent to the Bonus Period in which such termination occurred.

  • Such Performance Based Options shall be granted as soon as possible after the Effective Date provided that the Corporation is not then in a blackout period that has not been waived by the Board.

  • If the Performance Criteria is not met for a group of Performance Based Options, then no Options from that group shall vest except for the provisions provided for in the employment agreement.

  • The Options granted hereunder shall be allocated between Time Based Options, as defined below, and Performance Based Options, as defined below.

  • Should Executive terminate Executive’s employment without Good Reason and without providing Transition Notice, the Company shall be relieved of its obligations to Executive under this Agreement, other than to pay Executive any salary earned to date and any unvested Options (whether Time Based Options or Performance Based Options) shall terminate and be of no further force and effect.

  • Each group of Performance Based Options shall vest or be void in total on a group basis and there shall be no prorata vesting of Options within a group.

  • Upon achievement of specific Performance Goals, vesting of the number of shares of the Performance Based Options associated with achievement of such Performance Goals shall be accelerated so that such number of shares shall vest (or be deemed to have vested, as applicable) over a period of four (4) years on a pro rata basis monthly, commencing from the original date of the grant of such Performance Based Options.

Performance Based Options has the meaning set forth in Section 2.4(c) herein.

Related to Performance Based Options

  • Performance-Based Awards means the Performance Share Awards and Restricted Stock Awards granted to selected Covered Employees pursuant to Articles 9 and 10, but which are subject to the terms and conditions set forth in Article 11. All Performance-Based Awards are intended to qualify as "performance-based compensation" under Section 162(m) of the Code.

  • Performance-Based Award means any Restricted Stock Award, Restricted Stock Units, Performance Share Award or Cash-Based Award granted to a Covered Employee that is intended to qualify as “performance-based compensation” under Section 162(m) of the Code and the regulations promulgated thereunder.

  • Performance-Based Restricted Stock means Shares issued or transferred to an Eligible Individual under Section 9.2.

  • Performance-Based Cash Award means a right granted to a Participant under Article 9 to a cash award to be paid upon achievement of such performance goals as the Committee establishes with regard to such Award.

  • Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.
