The term (the “Term”) of this Agreement shall commence on the Effective Date and shall end on the last day of the calendar month in which the 10th anniversary of the earlier of (a) the date that Phase I is completed, and (b) the Agreed Phase I Completion Date occurs (the “Initial Term”), subject to Section 2.3.
The parties shall enter into the Phase II Funding Agreement, to memorialize the State’s contribution of the Phase II State Funds for the Project, and their other obligations and understandings regarding Phase II, only if the County meets the Phase I Benchmarks on or before the Phase I Completion Date (as it may be extended by the State, in its reasonable discretion).
