Pipeline Records definition

Pipeline Records. Shall have the meaning set forth in subsection (ix) of the definition of Pipeline Assets.
Pipeline Records means, to the extent they relate to the pipelines located in Alberta and comprising part of the Assets in respect of which Vendor is the license holder and will be transferring such licenses to Purchaser in conjunction with Closing, those files, records, reports, assessments and documents of the types set forth and described in Schedule “J”;
Pipeline Records means to the extent they relate to the pipelines comprising part of the Tangible Assets in respect of which a Vendor is the Permit holder and will be transferring such Permit to Captus GP in conjunction with Closing, those files, records, reports, assessments and documents that are required to comply with the AER’s certification requirements for transfer of pipeline licenses.

Examples of Pipeline Records in a sentence

  • The Parties agree that the provision by Vendors of a Pipeline Engineering Assessment completed by Vendors shall be an acceptable substitute in lieu of the rectification of any deficiency in the Pipeline Records, in order for both Parties to make the declarations required to comply with the regulatory requirements to transfer the Operated Pipeline licences pursuant to the Pipeline Rules.

  • Prior to Closing, Vendor shall make the Pipeline Records available to Purchaser for Purchaser’s review and assessment.

  • Until such time as the rectification of the subject Pipeline Records is complete, at which time the relevant Permit shall be transferred to Purchaser, the pipeline license in respect of the subject pipeline to which the deficient Pipeline Records relate shall be held by Vendor on behalf of Purchaser in accordance with and subject to the provisions of Section 8.3.

  • Any Pipeline Records which are the subject of an Ovintiv Deficiency Notice shall be deemed to be “Deficient Pipeline Records”.

  • Ovintiv shall be entitled to, acting reasonably, provide one or more written notices to Paramount specifying: (i) any Pipeline Records that are materially deficient and not in compliance with the Pipeline Regulations; (ii) the nature of the deficiency and non-compliance; and (iii) the pipeline licence(s) to which such Pipeline Records relate (each an “Ovintiv Deficiency Notice”).

  • BTG Energy is of the opinion, acting reasonably, that none of the Pipeline Records are deficient such that they do not comply with the requirements of the Pipeline Rules (Alberta) and CSA Z662, Oil and Gas Pipeline Systems to an extent that BTG Energy and Captus GP are unable to make such declarations as are required to comply with the AER’s certification requirements for transfer of pipeline licenses.

  • BTG Energy shall deliver to Captus GP prior to the Closing Time all available Pipeline Records.

  • Vendor shall deliver to Purchaser at or prior to the Closing Time all available Pipeline Records.

  • In the event that any of the Pipeline Records are deficient such that they do not comply with the requirements of the Pipeline Rules (Alberta) and CSA Z662, Oil and Gas Pipeline Systems to an extent that it is unable to make such declarations as are required to comply with the AER’s certification requirements for transfer of pipeline licenses, the Parties shall meet to determine such steps as may be reasonably required to rectify such deficiencies.

  • Vendor shall deliver to Purchaser at or prior to Closing all available Pipeline Records.


More Definitions of Pipeline Records

Pipeline Records means, to the extent they relate to the pipelines comprising part of the Assets in respect of which Vendor is the Permit holder and will be transferring such Permit to Purchaser in conjunction with Closing, those files, records, reports, assessments and documents of the types set forth and described in Schedule G;
Pipeline Records means those records, reports, assessments and documents required under the Pipeline Rules so that the transfer of the Pipeline Licences to Purchaser can be registered with the AER. (cccccc)

Related to Pipeline Records

  • Pupil Records Means both of the following: (1) Any information that directly relates to a pupil that is maintained by LEA and (2) any information acquired directly from the pupil through the use of instructional software or applications assigned to the pupil by a teacher or other local educational LEA employee.

  • Business Records means all files, documents, instruments, papers, books, reports, records, tapes, microfilms, photographs, letters, ledgers, journals, financial statements, technical documentation (design specifications, functional requirements, operating instructions, logic manuals, flow charts, etc.), user documentation (installation guides, user manuals, training materials, release notes, working papers, etc.), Tax Returns, other Tax work papers and files and other documents in whatever form, physical, electronic or otherwise.

  • Transferred Books and Records means, in respect of a Seller, all books, ledgers, files, reports, plans, records, manuals and other materials (in any form or medium) to the extent of, or maintained predominantly for, that Seller’s Contributed Business by that Seller’s Group (excluding its Target Group Companies) (other than emails), but excluding:

  • Files and Records means all files and records of Seller relating to the Business, whether in hard copy or magnetic or other format including customer and supplier lists and records; equipment maintenance records; equipment warranty information; plant plans, specifications and drawings; sales and advertising material; computer software; technical and research analyses; engineering, sales, marketing and other studies, data and plans; bid information; quality assurance records; and records relating to those employees of Seller who may become employed by Purchaser following the Closing.

  • Client Records has the meaning set forth in Section 3.14.
