Program IP definition

Program IP means the Program Know-How and the Program Patent Rights.
Program IP means Know-How and Materials, plus all Patents arising therefrom, created or conceived in connection with the activities performed pursuant to the Research Collaboration (whether solely by one party or jointly by the parties, in each case optionally with their Affiliates or any licensees, sublicensees, subcontractors or any other Third Parties or any employees, consultants or agents of any of the foregoing).

Examples of Program IP in a sentence

  • If [*****] acquires rights under any In-Licensed Program IP outside the Field, it will do so on a non-exclusive basis unless it obtains the prior written consent of [*****] for such license outside the Field to be exclusive.

  • Any Party that is pursuing a license to any In-Licensed Program IP with respect to the Field under this Section 3.9 shall keep the other Party reasonably informed of the status of any negotiations relating thereto.

  • Any Party that is pursuing a license to any In-Licensed Program IP with respect to the Field under this Section 3.8 shall keep the other Party reasonably informed of the status of any negotiations relating thereto.

More Definitions of Program IP

Program IP means know-how, knowledge, experience, inventions, processes, technical information, trade secrets, formulas, protocols, data and results (and any patents and patent applications claiming any of the foregoing), arising from or acquired specifically in the course of the development activities covered by this Agreement that relate specifically to the Licensed Product within the Field of Use.
