On or at any time within thirty (30) days after the Put Exercise Date, and upon written notice thereof by the Holder (a “Put Exercise Notice”), the Holder shall have the right to “put” to the Company all or any part of this Note, subject to applicable law.
The purpose of the DIS is for recipients to identify and address health disparities10 and to develop and implement an action plan with a disparity reduction quality improvement process to close the identified gap(s).

If the Holder and BCSG are unable to reach agreement within such 30-day period, the Holder and BCSG shall seek for an additional 15 days to reach agreement on an Investment Bank to determine the fair market value of the Put Shares on the Put Exercise Date.
