Any payment owed by the Redeveloper under this section shall be due and payable at the time of closing.
The Redeveloper agrees to amend the Conceptual Master Site Plan to reflect such change in accordance with the provisions of Section 3.1 hereof; provided, however, that in the event the proposed change in use is to either residential or commercial use, then such change shall not be deemed a “substantial change” for purposes of ARTICLE III hereof and shall only require the written consent of the Agency, which consent shall not be unreasonably withheld, delayed or conditioned.
The Agency shall maintain good and sufficient records of its payments from the account which may be inspected by the Redeveloper at any time during the normal business hours of the Agency.
In the event the Agency has purchased the Municipal Parking Lot and executed a Promissory Note in the amount of One Hundred Thousand and 00/100 ($100,000.00) Dollars in favor of the Norwalk Parking Authority as consideration for the purchase of the Municipal Parking Lot, then in lieu of the above Promissory Note to the Agency, the Redeveloper may be required to assume one-half (½) the obligations of the Agency under the aforementioned $100,000.00 Promissory Note to the Norwalk Parking Authority.
This indemnity shall survive termination of this Agreement and shall be separate and independent of any other provision of this Agreement, but shall apply only with respect to Condemned Parcels actually conveyed to the Redeveloper by the City and the Agency.
