If the event of Reduced Performance the Authority may issue a notice (an "Improvement Notice") bringing this to the attention of the Contractor.
The Contractor acknowledges and agrees that the deductions are not an estimate of the loss or damage that may be suffered by the Authority as a result of the Reduced Performance and nor are they onerous or a penalty.
Each Performance Report shall state the Contractor's performance against all of the relevant Contract Delivery Indicators and identify any occurrences of Reduced Performance with the Contractor's assessment of the reasons for such occurrences.
An Improvement Notice shall state: any area of Reduced Performance; and any other supporting information which the Authority considers to be relevant.

For each Performance Standard set forth in Exhibit B that Nova Factor failed to meet in the previous calendar quarter, the relevant discount amount for a failure to meet such standard shall be deducted from the Base Discount for the current calendar quarter, up to a maximum deduction of * percentage * (*%) ("Reduced Performance Standard").
