Underlying Performance definition

Underlying Performance means a decimal number calculated by applying the following formula:
Underlying Performance means, with respect to an Underlying and an Autocall Valuation Date or the Final Valuation Date (as applicable), the percentage (rounded to the nearest four decimal places (with 0.00005 being rounded up)) determined by the Calculation Agent in respect of such Underlying and such Valuation Date in accordance with the following formula:
Underlying Performance means, with respect to the Underlying and an Autocall Valuation Date or the Final Valuation Date (as applicable), (x) the Reference Value of such Underlying on such date divided by (y) its Initial Value.

Examples of Underlying Performance in a sentence

  • Each Converted Award shall vest in substantially equal monthly increments over the performance period of the Underlying Performance Award, provided that Executive remains an employee of the Company through each such vesting date.

  • For purposes of this Section 3(a), the Converted Award shall be the number of shares Executive would have received pursuant to the terms of the Underlying Performance Award for performance at target for the entire performance period (whether measured in one or more fiscal periods) in which the Change of Control occurs, regardless of any actual level of achievement subsequently determined.

  • Executive shall be given vesting credit from the commencement of the performance period of the Underlying Performance Award as if each Converted Award had been subject to a time-based vesting schedule from its grant date.

  • Preference Share Automatic Early Redemption Amount 1" above in the same manner (and in the same amount) as if the relevant Preference Share Confirmation specified "Single Underlying Performance" to be "Applicable", together with thepotential to receive an additional amountcomponent.

  • The terms used herein for the purposes of calculating the redemption amount in respect of Preference Share Redemption Amount 1 (Single Underlying Performance) shall have the same meaning as the defined terms used in Preference Share Variable Condition 4.2.
