Northwoods will use commercially reasonable efforts to make its Hosting Services available with a monthly System Availability Percentage (defined below) of at least 99.9% (“Service Commitment”).
If Contractor's performance falls below the minimum level of performance for the same Performance Metric set forth in this Contract for three or more consecutive months (for the monthly metrics), the Contractor shall issue a performance credit of $15,000 against the Department's next monthly invoice, except for 14 (System Availability Percentage), and Performance Metric 15 (Security Incident or Breach Notification Timeliness) whereby the performance credit shall be $30,000.
System Availability percentage is calculated as follows: System Availability Percentage = ((Total Minutes in the Month – Downtime) / Total Minutes in the Month)*100.
