Termination Declaration means a declaration by the Agent that (i) all Obligations owing under this Agreement and the other Credit Documents to be immediately due and payable, (ii) the termination, reduction or restriction of any further commitment to extend credit to the Borrower to the extent any such commitment remains, (iii) the termination of this Agreement and any other Credit Document as to any future liability or obligation of the Agents and the Lenders, but without affecting any of the Liens securing the Obligations or the Obligations, and/or (iv) a termination, reduction or restriction on the ability of the Borrower to use cash collateral, which shall be given by facsimile (or other electronic means) to counsel to the Borrower, counsel to any Committee and the U.S. Trustee and shall be filed with the Bankruptcy Court.
