Test Dates definition

Test Dates means 1 February 2004 and 1 August 2004 and thereafter each 1 February and 1 August (or, to the extent the Borrower's Financial Year is amended, the first day of the fifth month following the end of each Relevant Period) and "Test Date" means any of the foregoing. Each "Test Date" will be in respect of the most recently completed Relevant Period.
Test Dates mean the earlier of the following dates after each fiscal quarter of Ross that ends on or after June 30, 2001: (1) the seventh Business Day after the release by Ross of its financial statements for the fiscal quarter or (2) the first Business Day of the third calendar month following the end of the fiscal quarter.
Test Dates means 1 January 2008 and 1 July 2008 and thereafter each 1 January and I1 July (or, to the extent of the Company’s Financial year is amended, the first day of the fourth month following the end of each Relevant Period) and “Test Date” means any of the foregoing each “Test Date” will be in respect of the most recently completed Relevant Period.

  • A Mandatory Collateral Period shall commence on each Failed Collateral Test, and such Mandatory Collateral Period shall continue until the second of any two subsequent CONSECUTIVE Collateral Test Dates, neither of which constitutes a Failed Collateral Test Date.

  • Testing shall be carried out on each of the Test Dates the first of which shall fall on 1 February 2004 by reference to the most recent annual audited and/or semi-annual unaudited accounts prepared on a consolidated basis in respect of the Borrower Group delivered by the Borrower in respect of the Relevant Period.

  • Should the Ongoing Debt Service Coverage Ratio be less than the Minimum Required Debt Service Coverage Ratio for two (2) consecutive Test Dates, Borrower must, within ten (10) Banking Days after receipt of written notice from Lender, repay the Loan in an amount sufficient to cause the Ongoing Debt Service Coverage Ratio to be at least 1.30:1.00 as of such second Test Date.

  • The Lender shall be authorised at any time to use the money on the Cash Trap Account to repay the Loan, should a Cash Trap Event exist on two successive Test Dates.

  • The Borrower's right to cure a breach of Clause 22.2(a) (Debt service coverage ratio) or Clause 22.3(a) (Loan to Value) under Clause 22.2(b) (Debt service coverage ratio) or Clause 22.3(b) (Loan to Value) (as the case may be) may not be exercised in respect of consecutive Test Dates and may not be exercised in aggregate in respect of all such financial covenants more than three times in total until the Termination Date.

  • The additional Tax Tracking Fees shall be paid to the Lender together with the extension fees paid on the First and Second Extension DSCR Test Dates, as applicable.

  • The Test Dates for the financial covenant set forth in this Section 9.3 shall be (i) after the completion of the third Eaglebine New Drill after the date hereof, the fiftieth day after flowback has started with respect to the completion of such Eaglebine New Drill and (ii) after the completion of each Eaglebine New Drill thereafter, the fiftieth day after flowback has started with respect to the completion of each such Eaglebine New Drill.

  • The Borrower may not remedy a breach of the financial covenants in clauses 20.1, 20.2 or 20.3 in accordance with clause 20.4 or 20.5 more than three times during the term of the Facility or on any consecutive Test Dates.

  • The failure to achieve the Minimum DSC Hurdle as of a third consecutive or subsequent consecutive DSC Test Date shall in each case constitute a failure to achieve the Minimum DSC Hurdle as of two consecutive DSC Test Dates.

  • In the event of each Qualifying Disposition occurring during the Covenant Relief Period, the applicable Financial Covenant required pursuant to this Section 7.07(b) shall be decreased by 0.25:1.00; provided that Qualifying Dispositions consummated prior to the Second Amendment Effective Date shall not decrease the Financial Covenant in this Section 7.07(b) for Test Dates on or after March 31, 2024.

Related to Test Dates

  • Test Date means, with respect to any Start Date, the last day of the most recent fiscal quarter of the Borrower ended immediately prior to such Start Date.

  • Payment Dates means, with respect to any Receivable, the date a payment is due in accordance with the Receivable Agreement with respect to such Receivable as in effect as of the date of determination.

  • Quarterly Dates means the last Business Day of March, June, September and December in each year.

  • Averaging Dates means each of the dates set forth in the Final Terms, if any, or if any such date is not a Scheduled Trading Day, the next following Scheduled Trading Day, in each case subject to Condition 7(l).

  • Settlement Dates As determined pursuant to Section 9.4 of the Equity Definitions, subject to Section 9(k)(i) hereof.
