TSR Modifier definition

TSR Modifier means the TSR Modifier as set forth on Exhibit A.
TSR Modifier means a chart, attached hereto as ANNEX C, established by the Committee at a meeting to be held no later than April 30, 2006, which plots the different modifiers (which may be positive or negative) at TSR Performance Levels achieved; provided, however, that if for any reason the Committee shall determine that the TSR Modifier for the applicable three-year period is not an accurate measure of the Company’s performance for such three-year period, the Committee may, in its discretion, take action to adjust the percentage modifier in a manner that it deems appropriate under the circumstances.
TSR Modifier is an adjustment to the number of Earned Shares based on a comparison of the Company’s total shareholder return (“TSR”) to the ▇▇▇▇▇▇▇ 2000 Index for the Performance Period, as follows:

  • Notwithstanding anything in the Agreement to the contrary, in the event all or a portion of the Shares to be issued to you upon vesting and settlement of the Performance Share Units become distributable upon your termination of employment or at some time following your termination of employment, the Company may determine, in its discretion, that such Shares will vest and become distributable as soon as practicable following your termination of employment without application of the TSR Modifier.

  • In determining performance, the Committee shall consider all fiscal quarters completed prior to the date of death or Disability, and (1) prorate the Minimum Performance Hurdle based on the number of completed fiscal quarters compared to the total 3-year Performance Period, and (2) with respect to the ROTCE Matrix and TSR Modifier, determine actual performance, based on completed calendar quarters, from the first day of the Performance Period through the date of death or Disability.

  • The Target SELTPP Award shall be adjusted upward or downward (as applicable) based on the achievement of the Goal and the TSR Modifier as provided in Schedule A attached hereto (the “Performance Requirements”).


More Definitions of TSR Modifier

TSR Modifier means that (i) in the event TSR for the Performance Period is between [ ⚫ ] and -[ ⚫ ]%, the Vesting Eligible RSUs shall not exceed the Target Award; and (ii) in the event TSR for the Performance Period is [ ⚫ ]% or greater, the Vesting Eligible RSUs shall equal the Target Award.
TSR Modifier means a whole percentage, as set forth in the TSR Modifier graphic on the first page of this Shareholder Value Award, representing the absolute percentage point difference in the performance of the Company’s TSR compared to the Peer Group’s median TSR, subject to a maximum TSR Modifier of plus or minus 20% (i.e., each whole percentage point represents the percentage that the Company’s TSR is above/below the Peer Group’s median TSR).
TSR Modifier means the applicable percentage amount listed in the TSR modifier chart.
TSR Modifier determined pursuant to Section 6, and otherwise in accordance with the terms and conditions set forth herein and in the Plan (the “Award”). To the extent that any provision of this Agreement conflicts with the expressly applicable terms of the Plan, you acknowledge and agree that those terms of the Plan will control and, if necessary, the applicable terms of this Agreement will be deemed amended so as to carry out the purpose and intent of the Plan.
