Acceptance/Performance Test Clause Samples

An Acceptance/Performance Test clause defines the process by which delivered goods, services, or work are evaluated to ensure they meet specified standards or requirements before final acceptance. Typically, this clause outlines the criteria for testing, the procedures to be followed, and the timeframe within which the tests must be completed. For example, it may require the buyer to inspect and test products within a certain number of days after delivery, and to notify the seller of any defects or non-conformities. The core function of this clause is to provide a clear mechanism for verifying compliance with contractual obligations, thereby protecting the buyer from accepting substandard performance and reducing the risk of disputes over quality or functionality.
