ACCEPTING CARDS. 6.1 You will accept all Cards presented by a customer for payment in respect of any Transaction. 6.2 You will submit all Transactions and Routed Transactions to us for Authorization in accordance with the terms of this Agreement and any other standards and procedures that we may notify you of from time to time. 6.2.1 You understand that an Authorization only indicates approval by a Card issuer or Third Party that a Transaction or Routed Transaction may proceed and does not mean that a Transaction or Routed Transaction has been authorized by the Cardholder or that it is authentic or valid. 6.2.2 If you have received an Authorization, this does not limit our rights under this Agreement, including our right to refuse to process a Transaction or Routed Transaction or to Chargeback the amount of the Transaction. 6.3 You may offer customers a price that is lower than your ticketed or posted price for goods and services (a “Discount”) if the customer uses cash or another form of payment to purchase the goods and services. You may also provide customers with different Discounts for using different Payment Card Network brands. You must clearly communicate any Discount at the point of interaction with your customers. 6.4 You will not do any of the following in respect of a Transaction or a Routed Transaction: 6.4.1 Surcharge unless permitted by a Payment Card Network; 6.4.2 require that a minimum amount of goods or services be purchased before accepting a Card; 6.4.3 anything that discriminates against or discourages use of one Card in favour of another Card, except that you may offer Discounts as explained in Section 6.3; 6.4.4 attempt to obtain multiple Authorizations for a single Transaction on a single Card or to reduce or disguise the amount of any Transaction by the use of multiple Transaction Records (known as “split ticketing”); 6.4.5 process a Transaction for another individual or entity (known as “factoring”); 6.4.6 submit any Credit Card Transaction that represents a cash advance or the refinancing of an existing obligation of a Cardholder, including any obligation that the Cardholder owes to you; 6.4.7 accept Cards for types of businesses, goods or services that we or a Payment Card Network deem unacceptable, including without limitation: businesses, goods or services that are prohibited by law; gambling; adult entertainment services (including escort and dating services, adult phone call services, pornography (including videos), strip clubs); massage pa...
ACCEPTING CARDS. 2.1 You will: (a) accept Cards which we have offered to Acquire for you ; (b) process all Transactions exclusively with us during the term of the Agreement unless we have agreed otherwise in writing; and (c) indicate your consent to accept any type of Card in writing, or by any other method, including fax, email or telephone. 2.2 You will not: (a) charge Cardholders prices for goods or services that exceed your ticketed or posted price for such goods or services; (b) impose any fees, other charges or other conditions for the use of a Card as a means of payment, generally known as surcharging, without our prior written approval; (c) require a minimum amount of goods be purchased or services be performed before accepting a Credit Card; or (d) accept a Card to collect or refinance an existing debt with respect to Credit Cards only. 2.3 You will submit all Credit Card Transactions to us within 2 Business Days of the date of the Transaction. If you fail to do so, we may adjust the fees and charges applicable to such Transactions. If you fail to close a Batch (if applicable) within such period, we have the right to close such Batch at any subsequent time. 2.4 You will not make any cash advance to a Credit Cardholder or any other person as a part of a Credit Card Transaction, or include the amount of any cash advance in the sum being invoiced to a Credit Cardholder in a Remote Transaction. 2.5 You will not attempt to obtain multiple Authorizations for a single Transaction on a single Credit Card or to reduce or disguise the amount of any Transaction by the use of multiple Remote Transactions (known as “split ticketing”). 2.6 You will not deposit a Remote Transaction with any other financial institution, deposit more than one copy of a Remote Transaction with us, or receive credit or payment more than once, from any source, for any Remote Transaction. 2.7 You will not deliver Remote Transactions to us in respect of fictitious or fraudulent Transactions or with respect to any Transaction that is illegal or may, in the sole discretion of a Payment Card Network, damage the goodwill of such Payment Card Network. 2.8 You will not factor (process a Remote Transaction of or for another person), sell or otherwise transmit Remote Transactions (except as permitted in the Agreement). 2.9 You will not submit Remote Transactions to us that do not relate to your Transactions. 2.10 You will not deposit or complete a Remote Transaction for payment using a Card that we have notifi...
ACCEPTING CARDS. You will comply with our Card processing policies, procedures, and instructions as published on our Site or Seller Central or provided to you from time to time. As a condition of accepting Cards using the Service, you agree to follow all applicable rules and regulations of the Networks, as amended from time to time, that are provided to you or are generally available to the public (including merchant rules posted on ▇▇▇.▇▇▇▇.▇▇▇ , ▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇ , ▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ , and ▇▇▇.▇▇▇▇▇▇▇▇.▇▇▇ ) (" Network Rules "). We may remove or add Cards or other payment methods that we accept at any time without prior notice. Except as permitted by Network Rules or applicable law, you will not (a) establish limits below which you will not accept a Card, (b) assess a surcharge for the use of a Card in connection with any transaction, or (c) dispense cash on any Card transaction. We will only process Cards that receive an authorization from the applicable Network or Card issuer. An authorization does not guarantee that such transaction will be collectible or that the cardholder is actually authorized to use the Card or that the transaction will not be subject to Chargeback.
ACCEPTING CARDS. You agree to permit Cardmembers to purchase goods and services with the Card at your establishment(s) in accordance with the following terms and conditions, except as otherwise provided in Section 14 hereof regarding Charges made by mail or telephone: a) the Card is presented on or subsequent to the beginning date and on or prior to the expiration date shown on the face of the Card; b) you have obtained "Authorization" in the manner set forth in Section 3 of this Agreement; c) the Card is signed in the same name as that which is embossed on its face; d) You have not been notified by us of the Cancellation of the Card; e) the Charge form is signed by the Cardmember in the presence of your employee with what reasonably appears to be the same signature as that written on the signature panel of the Card (if there is a question about the validity of a signature, a signed statement by the Cardmember stating whether the signature is his/hers shall conclusively determine whether this condition has been met); f) the Card is not visibly altered or mutilated; and g) all other relevant provisions of this Agreement are complied with.
ACCEPTING CARDS. 2.1 You will: (a) accept Cards which we have offered to Acquire for you and for which you have provided consent (including electronic communication from your Terminal); and (b) use us exclusively to Acquire for you. 2.2 You will not: (a) charge Cardholders prices for goods or services that exceed your ticketed or posted price for such goods or services; (b) impose any fees, other charges or other conditions for the use of a Card as a means of payment, generally known as surcharging, without our prior written approval; (c) require a minimum amount of goods be purchased or services be performed before accepting a Credit Card; (d) accept a Card to collect or refinance an existing debt with respect to Credit Cards only; (e) engage in any acceptance practice that discriminates against or discourages use of a Credit Card in favour of another Credit Card, except that you may offer discounts pursuant to Section 19.3; or (f) accept Cards for the provision of any of the following goods or services or any other type of business that we deem unacceptable: escort and dating services, adult telephone call services, collection agency services, cheque cashing services, adult entertainment including pornography, massage parlour service, time share sales, gambling, extended car warranties except major car dealerships, weight loss vitamins and pills, cult material, pre-paid telephone cards, bail, credit reporting, resume preparing services, pyramid sales, and satellite television sales except for satellite television sales that are legal in Canada. 2.3 When a Card is presented as payment for a Transaction: (a) you will, where required, complete a Transaction Record at the time of the Transaction; (b) you will, to electronically capture the information on the magnetic stripe, or embedded in the chip, of the Card, as appropriate, follow the prompts on the Terminal and: (i) swipe the Card through the Terminal; or (ii) have the Cardholder insert the Card into the Terminal; or (iii) have the Cardholder wave the Card in proximity to a contactless Terminal, (c) you will ensure that the following information is included on the Transaction Record: (i) the number of the Card except that at least 4 digits of the Card must be suppressed or disguised on the Cardholder copy (except for an Interac Direct Payment Transaction); (ii) your name and full address including city, province and country; (iii) the date of the Transaction; (iv) the amount of the Transaction in the currency of the Tra...

  • Network Upgrades and Distribution Upgrades The Participating TO shall design, procure, construct, install, and own the Network Upgrades and Distribution Upgrades described in Appendix A. The Interconnection Customer shall be responsible for all costs related to Distribution Upgrades. Unless the Participating TO elects to fund the capital for the Distribution Upgrades and Network Upgrades, they shall be solely funded by the Interconnection Customer.

  • Tender Prices and discounts 16.1 The prices and discounts (including any price reduction) quoted by the Tenderer in the Form of Tender and in the Activity Schedule (s) shall conform to the requirements specified below. 16.2 All lots (contracts) and items must be listed and priced separately in the Activity Schedule(s). 16.3 The Contract shall be for the Services, as described in Appendix A to the Contract and in the Specifications (or Terms of Reference), based on the priced Activity Schedule, sub mitted by the Tenderer. 16.4 The Tenderer shall quote any discounts and indicate the methodology for their application in the Form of Tender in accordance with ITT 16.1. 16.5 The Tenderer shall fill in rates and prices for all items of the Services described in the in Specifications (or Terms of Reference), and listed in the Activity Schedule in Section VII, Procuring Entity's Requirements. Items for which no rate or price is entered by the Tenderer will not be paid for by the Procuring Entity when executed and shall be deemed covered by the other rates and prices in the Activity Schedule. 16.6 All duties, taxes, and other levies payable by the Service Provider under the Contract, or for any other cause, as of the date 30 days prior to the deadline for submission of Tenders, shall be included in the total Tender price submitted by the Tenderer. 16.7 If provided for in the TDS, the rates and prices quoted by the Tenderer shall be subject to adjustment during the performance of the Contract in accordance with and the provisions of Clause 6.6 of the General Conditions of Contract and / or Special Conditions of Contract. The Tenderer shall submit with the Tender all the information required under the Special Conditions of Contract and of the General Conditions of Contract. 16.8 For the purpose of determining the remuneration due for additional Services, a breakdown of the lump-sum price shall be provided by the Tenderer in the form of Appendices D and E to the Contract.

  • Reduction and Disconnection NYISO or Connecting Transmission Owner may reduce [ ] Interconnection Service or disconnect the Large Generating Facility or the Developer’s Attachment Facilities, when such reduction or disconnection is necessary under Good Utility Practice due to an Emergency State. These rights are separate and distinct from any right of Curtailment of NYISO pursuant to the ISO OATT. When NYISO or Connecting Transmission Owner can schedule the reduction or disconnection in advance, NYISO or Connecting Transmission Owner shall notify Developer of the reasons, timing and expected duration of the reduction or disconnection. NYISO or Connecting Transmission Owner shall coordinate with the Developer using Good Utility Practice to schedule the reduction or disconnection during periods of least impact to the Developer and the New York State Transmission System. Any reduction or disconnection shall continue only for so long as reasonably necessary under Good Utility Practice. The Parties shall cooperate with each other to restore the Large Generating Facility, the Attachment Facilities, and the New York State Transmission System to their normal operating state as soon as practicable consistent with Good Utility Practice.
