ACCOUNTING, IT SUPPORT, HUMAN RESOURCES, ADMINSTRATION AND RELATED SERVICES. (a) to prepare and provide to the Owner monthly management accounts in respect of the Owner within fifteen (15) days after the end of each month; (b) to prepare annual accounts in respect of the Owner in accordance with generally accepted accounting principles in Hong Kong and in compliance with all applicable legislation in respect of each accounting reference period; (c) to procure that such annual accounts (in draft form) as mentioned in Clause 3.4 (b) above are made available to the Owner within ninety (90) days from the end of the financial year and that the final form of annual accounts of the Owner are made available for board approval as soon as practicable (and in any event within one hundred and eighty (180) days from the end of financial year); (d) to keep accounts in accordance with generally accepted accountancy practice recording on an accrual basis all revenues and expenses in respect of the Property and all sums owing to or by the Owner in respect of the Property; (e) to keep records of all transactions relating to the management of the Property and the performance or provision of services; (f) to make relevant accounting-related information available to the Owner within a reasonable time upon being so required by the Owner or the auditors; (g) to do all that the auditors may reasonably require in relation to keeping of records and accounts and provide the auditors with all such information and explanation as they may reasonably require or otherwise provide such assistance to the auditors as they may reasonably require in relation to their annual audits; (h) to engage auditors to prepare the following based on the annual audited financial statements of the Owner:- (i) profits tax return; and (ii) tax computation and the related supporting schedules for submission to the Inland Revenue Department; (i) to prepare an annual budget for each budget period of twelve (12) months from 1 January to 31 December of each year and submit such annual budget (which shall contain details including but not limited to budgeted gross revenues, budgeted management expenses and budgeted estate agent commissions, proposed rent, licence fee, tariffs for warehouse warrant business) to the Owner for approval no later than two (2) months before the commencement of each relevant budget period.   • FUND ADMINISTRATION SERVICES BNY Mellon shall provide the following fund administration services for each Fund, Series and class:  Calculate Fund approved income and per share amounts required for periodic distributions to be made by the applicable Fund, Series or class;  Coordinate a Fund’s annual audit and respond timely and completely to related requests;  Cooperate with each Fund’s independent auditors;  Supply various normal and customary portfolio and Fund statistical data as requested on an ongoing basis; and  If the chief executive officer or chief financial officer of a Fund is required to provide a certification as part of the Fund’s Form N-Q or Form N-CSR filing pursuant to regulations promulgated by the SEC under Section 302 of the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002, provide a sub-certification in support of certain matters set forth in the aforementioned certification. Such sub-certification is to be in such form and relating to such matters as reasonably agreed to by BNY Mellon in advance. BNY Mellon shall be required to provide the sub-certification only during the term of this Agreement with respect to the applicable Fund or Series and only if it receives such cooperation as it may request to perform its investigations with respect to the sub-certification. For clarity, the sub-certification is not itself a certification under the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002 or under any other law, rule or regulation. BNY Mellon shall provide the following regulatory administration services for each Fund and Series:  Assist the Fund in responding to SEC examination requests by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list and by making employees responsible for providing services available to regulatory authorities having jurisdiction over the performance of such services as may be required or reasonably requested by such regulatory authorities;  Assist with and/or coordinate such other filings, notices and regulatory matters and other due diligence requests or requests for proposal on such terms and conditions as BNY Mellon and the applicable Fund on behalf of itself and its Series may mutually agree upon in writing from time to time; and

  • Financial, Accounting, and Administrative Services The Manager shall maintain the existence and records of the Corporation; maintain the registrations and qualifications of Fund Shares under federal and state law; monitor the financial, accounting, and administrative functions of the Fund; maintain liaison with the various agents employed by the Corporation (including the Corporation’s transfer agent, custodian, independent accountants and legal counsel) and assist in the coordination of their activities on behalf of the Fund.

  • Tax Accounting Services (1) Maintain accounting records for the investment portfolio of the Fund to support the tax reporting required for “regulated investment companies” under the Internal Revenue Code of 1986, as amended (the “Code”). (2) Maintain tax lot detail for the Fund’s investment portfolio. (3) Calculate taxable gain/loss on security sales using the tax lot relief method designated by the Trust. (4) Provide the necessary financial information to calculate the taxable components of income and capital gains distributions to support tax reporting to the shareholders.
