AI Technology Sample Clauses
AI Technology. Refers to artificial intelligence functionalities embedded in Axon’s Cloud Services, which may include: (a) Enhanced Evidence Management; (b) AI-powered redaction tools; (c) Large Language Model-based tools (e.g., "Draft One" “Policy Chat”); (d) Predictive Analytics for operational insights; or (e) Natural Language Processing (NLP) for text and speech analysis.
AI Technology. Seller and each Acquired Subsidiary uses all AI Technologies in compliance with the applicable license terms. Neither Seller not any Acquired Subsidiary included and does not include any Personal Information, trade secrets or confidential or proprietary information of Seller or any Acquired Subsidiary, or of any other Person under an obligation of confidentiality by Seller and the Acquired Subsidiaries, in any prompts or inputs into any AI Technologies. The Seller and the Acquired Subsidiaries are in compliance with all Laws applicable to the Seller and each Acquired Subsidiary’s development and implementation of AI Technology and its use of Personal Information in such AI Technology.
AI Technology. Except as would not, individually or in the aggregate, reasonably be expected to have, individually or in the aggregate, a Company Material Adverse Effect, the Acquired Companies’ use and provision of generational artificial intelligence technology (collectively, “Gen AI Technology”) is in compliance with all applicable Laws and Data Privacy Requirements, and (b) to the extent that the Acquired Companies have engaged in the development of Gen AI Technology, all data (including Personal Information) used in connection with such development or input into such Gen AI Technology by or on behalf of the Acquired Companies (including for purposes of training such Gen AI Technology) has been collected and processed by the Acquired Companies in compliance with the foregoing. None of the Acquired Companies have been subject to any Legal Proceeding (pending or, to the Knowledge of the Company, threatened) related to its creation, training, use, promotion, advertisement, testing or provision of Gen AI Technology.
