ALTERNATIVE BIDS. In accordance with the Scheduling Order, Sellers may initiate contact with, solicit inquiries from, and respond to alternative bids submitted by third parties that meet the requirements contained in the Overbid Procedures (an “Alternative Bid”) in respect to the acquisition of the Business and Assets (any such transaction, an “Alternative Transaction”), and may provide information in connection with, negotiate and enter into an Alternative Transaction, in each case in a manner consistent with the Scheduling Order, relating to the Business and Assets to qualified prospective buyers who have made inquiries.

Only the technical alternatives, if any, of the lowest evaluated Bidder conforming to the basic technical requirements shall be considered by the Employer. 13.4 When specified in the BDS, Bidders are permitted to submit alternative technical solutions for specified parts of the Works, and such parts will be identified in the BDS, as will the method for their evaluating, and described in Section VI, Works Requirements.
