Analysis of Materials Sample Clauses

The 'Analysis of Materials' clause establishes the right and procedures for examining, testing, or evaluating materials used or supplied under an agreement. Typically, this clause allows one party—often the buyer or client—to inspect or analyze materials to ensure they meet specified standards or contractual requirements, which may involve laboratory testing, sampling, or review of documentation. Its core function is to ensure quality control and compliance, thereby reducing the risk of defective or non-conforming materials being used in the project or transaction.
Analysis of Materials. Prior to use in production, Gilead shall have shipments of API and Product Materials analyzed for such matters as Eyetech may require in accordance with the Specifications, Quality Agreement, attached Product Supplements and Gilead standard operating procedures, and Gilead shall ensure that all API and Product Materials conform to the Specifications as determined by such required analysis. Such analyses may be conducted by Gilead internally or by an outside laboratory retained by Gilead and reasonably approved by Eyetech. For purposes of this Agreement, such tests shall be considered routine and shall be performed at Gilead's expense. All test results are to be documented in accordance with cGMP and available for inspection at Eyetech's request upon reasonable notice during reasonable business hours. Eyetech will be responsible for the costs of replacement and disposition for all API, except to the extent that such API fails to conform to Specifications due to Gilead's non-compliance with Section 5.4(a) or this Section 5.7. Gilead will be responsible for the costs of replacement and disposition of Product Materials that fail to conform to Specifications subject to the limitation set forth in Section 11.3(b).
Analysis of Materials. Prior to use in production, COMPANY shall have shipments of Raw Materials analyzed for such matters as PFIZER may require in accordance with the Specifications, Quality Agreement, applicable Addenda and standard operating procedures, and COMPANY shall ensure that all materials conform to the Specifications. COMPANY may conduct such analyses internally or by an outside laboratory retained by COMPANY and approved by PFIZER. For purposes of this Agreement, such tests shall be considered routine and shall be included in the Price of the Product(s). All test results are to be documented in accordance with cGMP and available for inspection at PFIZER’s request.
Analysis of Materials. Prior to use in production, the Manufacturer shall have shipments of Materials analyzed for such matters in accordance with the Specifications and the Manufacturer shall ensure that all Materials strictly comply with the Specifications. Such analyses may be conducted, at the option of Warner, by the Manufacturer internally or by an outside laboratory retained by the Manufacturer and approved by Warner. For purposes of this Agreement, such tests shall be considered routine and shall be performed at the Manufacturer’s expense. All test results are to be carefully documented and available for inspection or statistical summary at Warner’s request.
Analysis of Materials. For the purposes of this Agreement, all quality control tests and analysis on raw materials, packaging materials, components and other Product Materials shall be considered routine and shall be performed in accordance with the Quality Agreement by ASM. Any additional tests expressly initiated or requested by FOAMIX shall be performed at FOAMIX’s expense. All test results are to be documented in accordance with CGMP and will be available for audits at FOAMIX’s request.

  • Review of Materials During the term of this Agreement, Client shall ensure that all prospectuses, statements of additional information, registration statements, proxy statements, reports to shareholders, advertising and sales literature or other materials prepared for distribution to Fund shareholders or the public, which refer to the Subadviser in any way, prepared by employees or agents of Client or its affiliates are consistent with information previously provided by Subadviser. Subadviser shall promptly notify the Client of any changes to information pertaining to the Subadviser and stated in the materials described in this Section 6(g).

  • Use of Materials There should be no limitations or restrictions by Union upon a Contractor's choice of materials or design, nor, regardless of source or location, upon the full use and utilization, of equipment, machinery, packaging, precast, prefabricated, prefinished, or preassembled materials, tools or other labor saving devices, subject to the application of the California Public Contract and Labor Codes. Generally, the onsite installation or application of such items shall be performed by the craft having jurisdiction over such work.

  • Delivery of Materials In the event of any expiration or termination of this Agreement, Contractor shall promptly provide the JBE with all originals and copies of the Deliverables, including any partially-completed Deliverables-related work product or materials, and any JBE-provided materials in its possession, custody, or control. In the event of any termination of this Agreement, the JBE shall not be liable to Contractor for compensation or damages incurred as a result of such termination; provided that if the JBE’s termination is not for cause, the JBE shall pay any fees due under this Agreement for Services performed or Deliverables completed and accepted as of the date of the JBE’s termination Notice.

  • Use of Material The Employer intends using the information provided by the Consultant for purposes including: • professional advice regarding decisions to be made in connection with the subject matter of the services; • inputs into the work of others and the administration of contracts; and • professional inputs into the delivery process Task specific use of information provided by the Consultant is set out in the Task Order.
