Anticorruption Measures Clause Samples

The Anticorruption Measures clause establishes requirements and obligations for parties to prevent, detect, and address corrupt practices such as bribery, fraud, or other unethical conduct in connection with the agreement. Typically, this clause mandates compliance with relevant anticorruption laws, requires parties to implement internal controls or training, and may obligate them to report any suspected violations. Anticorruption Measures. The Borrower shall: (a) undertake necessary measures to create and sustain a corruption-free environment; (b) ensure that its anticorruption laws and regulations and ADB’s Anticorruption Policy (1998) are strictly enforced and are being complied with during Project implementation, and that relevant provisions of ADB’s Anticorruption Policy (1998) are included in all bidding documents for the Project; (c) facilitate ADB’s exercise of its right to investigate, directly or through its agents, any alleged corrupt, fraudulent, collusive or coercive practices relating to the Project; (d) ensure that the Project Executing Agency conducts periodic inspections on the contractors’ activities related to fund withdrawals and settlements; and (e) ensure that all contracts financed by ADB in connection with the Project include provisions specifying the right of ADB to audit and examine the records and accounts of the Project Executing Agency and all contractors, suppliers, consultants and other service providers as they relate to the Project.
Anticorruption Measures. Each Party shall ensure that criminal or administrative measures exist to address corruption in its government procurement. These measures may include procedures to render ineligible for participation in the Party’s procurements, either indefinitely or for a stated period, suppliers that that Party has determined to have engaged in fraudulent or other illegal actions in relation to government procurement in a Party’s territory. Each Party shall also ensure that it has policies and procedures in place to eliminate, to the extent possible, or manage any potential conflict of interest on the part of those involved in or having influence over a procurement.
Anticorruption Measures. The Borrower shall cause the DISCO to ensure that ADB’s Anticorruption Policy (1998, as amended to date) is followed throughout the implementation of the Investment Project, it being understood that ADB reserves the right to investigate, directly or through its agents, any alleged corrupt, fraudulent, collusive or coercive practices relating to the Investment Project. All bidding documents and contracts in connection with the Investment Project shall include provisions specifying the right of ADB to audit and examine the records and accounts of and all contractors, suppliers, consultants and other service providers as they relate to the Investment Project. The Borrower shall extend full cooperation and all necessary assistance, including access to all relevant contracts, accounting and bookkeeping records, as well as engagement of independent experts that may be needed for satisfactory completion of such investigations. An independent audit of procurement activities shall be carried out as required by ADB during the implementation of the Investment Project, and any external costs related to such audit/investigations are be borne by the respective DISCO.
