Application of General Terms and Conditions. These general terms and conditions as well as the specific regulations (collectively, the “General Terms”) govern the use of SORACOM Air Global Service by customers in EU nations and the United Kingdom. Prior to April 30th, 2020 (the “Novation Date”), SORACOM DK ApS, having its registered office at c/o ▇▇▇▇-▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇ ▇▇ ▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇, registered under business registration number (CVR) 37757268, will provide the SORACOM Air Global Service to you according to the SORACOM Air Global Service agreement concluded under the General Terms (such agreement, the “Agreement”). With effect from the Novation Date, all rights, obligations and liabilities of SORACOM DK ApS in respect of the SORACOM Air Global Service will be absolutely transferred to SORACOM CORPORATION, LTD, having its registered office at ▇▇ ▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇, registered under company number 12311887, and it will provide the SORACOM Air Global Service to you according to the Agreement. SORACOM DK ApS and SORACOM CORPORATION, LTD. will hereinafter be individually or collectively referred to as “SORACOM.”

Application of General Terms and Conditions. These general terms and conditions as well as the specific regulations (collectively, the “General Terms”) govern the use of SORACOM Private Network Service by Consumers in EU nations and the United Kingdom. Prior to April 30th, 2020 (the “Novation Date”), SORACOM DK ApS, having its registered office at ▇/▇ ▇▇▇▇-▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇ Allé 35 2100 Copenhagen, Denmark, registered under business registration number (CVR) 37757268, will provide the SORACOM Private Network Service to you according to the SORACOM Private Network Service agreement concluded under the General Terms (such agreement, the “Agreement”). With effect from the Novation Date, all rights, obligations and liabilities of SORACOM DK ApS in respect of the SORACOM Private Network Service will be absolutely transferred to SORACOM CORPORATION, LTD, having its registered office at 16 Great Queen Street, Covent ▇▇▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇, registered under company number 12311887, and it will provide the SORACOM Private Network Service to you according to the Agreement. SORACOM DK ApS and SORACOM CORPORATION, LTD. will hereinafter be individually or collectively referred to as “SORACOM.”

Application of General Terms and Conditions. 6.1 Unless otherwise expressly stated, these General Terms apply to all Shippers, except insofar as they are changed by or are in conflict with any statute of the State of Texas, or valid final order of any court or the Railroad Commission of Texas, in which case such statute or order shall control to the extent that it is applicable to the Shipper(s) in question. Whenever possible, these General Terms shall be construed harmoniously with such laws or orders. 6.2 The use of transportation service shall constitute an agreement by the Shipper to utilize such service in accordance with the General Terms set forth herein. 6.3 These General Terms and all subsequently effective General Terms, may be abrogated, modified, or added to in whole or in part by Company and any such change in these General Terms shall become effective when filed with the Railroad Commission of Texas.

SORACOM GLOBAL, Inc. will hereinafter be referred to as “SORACOM.”

Application of General Terms and Conditions. These general terms and conditions as well as the specific regulations (collectively, the “General Terms”) govern the use of SORACOM Arc Service by customers in the USA. SORACOM GLOBAL, Inc., having its registered office at ▇▇▇▇▇ ▇▇ ▇▇▇ ▇▇, ▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇, ▇▇▇, will provide the SORACOM Arc Service to you according to the SORACOM Arc Service agreement concluded under the General Terms (such agreement, the “Agreement”). SORACOM GLOBAL, Inc. will hereinafter be referred to as “SORACOM.”

Application of General Terms and Conditions. 2.1 Unless otherwise expressly agreed in writing and signed by both Parties, or solely to the extent otherwise required by mandatory application of law, this General Terms and Conditions will: 2.1.1 apply to and be incorporated in the Agreement; 2.1.2 apply to all actions and Services provided by Keyn Certification; and 2.1.3 prevail over any inconsistent terms or conditions contained in the Client’s standard terms and conditions or any other communications with Keyn Certification. 2.2 For the avoidance of doubt, under no circumstances will the Client's standard terms and conditions (if any) attached to, enclosed with or referred to in any Application Form or other document, govern the Agreement. 2.3 Except as provided in the Agreement, the Agreement is entered into solely between and enforced by the Client and Keyn Certification only. The Agreement shall not be deemed to create any rights for the benefit of any third parties, including (without limitation) suppliers or customers of a Party, or to create any obligation of a Party to such third parties. 2.4 Keyn Certification, in its sole and absolute discretion, may delegate the performance of all or a portion of the Services under the Agreement to an Affiliate without the prior approval of the Client. Notwithstanding the clause 0, the Client hereby consents to such delegation and allow the Keyn Certification disclosing any and all of the Confidential Information of the Client to such Affiliate for the sole purpose of performing the Services, in whole or in part. 2.5 The Services offered by Keyn Certification are “open ended” and are subject to automatic renewal.
