Appointment of Proxy Holders Sample Clauses

The Appointment of Proxy Holders clause establishes the process by which a shareholder or member can designate another individual to attend meetings and vote on their behalf. Typically, this clause outlines the requirements for appointing a proxy, such as providing written authorization and specifying the scope of the proxy's authority, which may include voting on specific resolutions or all matters at a meeting. Its core function is to ensure that members who cannot attend meetings in person still have their interests represented, thereby facilitating participation and decision-making even in their absence.
