Approval and Issuance. (a) Borrower shall provide Agent not less than three (3) Business Days' prior written notice of each request for the issuance of a Letter of Credit by delivery of a Letter of Credit Request Form, which shall be certified by an Authorized Officer of Borrower, and shall, in addition to the matters described in Paragraph 2.7 (a) hereof, list all Letters of Credit outstanding for the account of Borrower at that time and, for each Letter of Credit so listed, its face amount, outstanding undrawn balance and expiration date. It shall be a condition to the issuance of any Letter of Credit that Agent shall have received a Letter of Credit Request Form as described above and such letter of credit application and agreement as Agent shall reasonably require in connection therewith, and that the conditions set forth in Paragraph 4.2 shall be satisfied. (b) Agent will promptly provide to Lenders written (including fax) or telephonic notification of Agent's receipt of the Letter of Credit Request Form which shall state (i) the amount of the Letter of Credit requested and (ii) the expiration date of the requested Letter of Credit.

Approval and Issuance. (a) Borrower shall provide Administrative Agent not less than three (3) Business Days' prior written notice of each request for the issuance of a Letter of Credit by delivery of a Letter of Credit Request Form in the form attached as EXHIBIT F hereto and Administrative Agent's Letter of Credit Application in either the form attached as EXHIBIT G ("Standby Letter of Credit Application") or EXHIBIT H ("Commercial Letter of Credit Application") hereto. Each Letter of Credit Request Form submitted by Borrower to Administrative Agent requesting the issuance of a Letter of Credit shall be certified by the chief executive or chief financial officer of the Borrower, and shall, in addition to the matters described in Paragraph 2.7 hereof, list all Letters of Credit outstanding for the account of Borrower at that time and, for each Letter of Credit so listed, its face amount, outstanding undrawn balance and expiration date. It shall be a condition to the issuance of any Letter of Credit that Administrative Agent shall have received a Letter of Credit Request Form and either a Standby Letter of Credit Application or a Commercial Letter of Credit Application as described above and that the conditions set forth in Paragraph 4.5 shall be satisfied. (b) Administrative Agent will promptly provide to Banks written or telephonic notification of Administrative Agent's receipt of the Letter of Credit Request Form and the Letter of Credit Application which shall state (i) the amount of the Letter of Credit requested and (ii) the expiration date of the requested Letter of Credit.

Each Advance/Credit Request Form submitted by Borrowers to Agent requesting the issuance of a Performance or Financial Standby Letter of Credit shall be certified by the chief financial officer or controller of SunSource Inc. and represent as to the matters set forth in Paragraph 2.7(a) hereof. (b) Agent will promptly provide to Banks written or telephonic notice of Agent's receipt of the Advance/Credit Request Form and the Letter of Credit Application which shall state (i) the amount of the Performance or Financial Standby Letter of Credit requested and (ii) the expiration date of the Performance or Financial Standby Letter of Credit.

Approval and Issuance. (a) Borrower shall provide Administrative Agent not later than 10:00 a.m. Dallas, Texas time, three (3) Business Days before any Letter of Credit is to be issued, prior written notice of each request for the issuance of a Letter of Credit by delivery of a Letter of Credit Request Form in the form attached as EXHIBIT B-2 hereto and a Letter of Credit Agreement with respect thereto. Approval and Issuance. (a) Whenever a Borrower desires that a Letter of Credit be issued for its account, or that an outstanding Letter of Credit issued for its account be amended, such Borrower shall give Bank: (i) in the case of a standby Letter of Credit, at least eight (8) Business Days' prior written request therefor in the form of Exhibit A attached hereto and (ii) in the case of a documentary Letter of Credit, written request therefor (or by electronic request pursuant to procedures established between Borrowers and Bank) one (1) Business Day prior to issuance. (b) Letters of Credit and amendments thereto shall be requested, processed and issued, and draws thereon shall be negotiated, processed and paid, in accordance with and subject to the terms and procedures of the Master L/C Agreement and the Electronic L/C Agreement entered into between Borrowers and Bank. (c) It shall be a condition to the issuance of any Letter of Credit that the conditions set forth in Paragraphs 2A.1(a) and 4.2 hereof shall be satisfied.
