Common use of Assignments and Subcontractors Clause in Contracts

Assignments and Subcontractors. The Company and Contractor agree that neither party may assign this Agreement or any sum that may accrue to it, without the prior written consent of the other party. Subject to the foregoing, Contractor shall have the right to subcontract portions of the Services (but not all of the Services) as it shall determine to be necessary to sub-contractors. Contractor acknowledges and agrees that: (a) the provisions of the Section shall not operate to limit or relieve in any way any obligation of Contractor to the Company under this Agreement, including obligations with respect to the conduct, quality and completion of the Services, in strict accordance with the terms of this Agreement; and (b) it will be liable to the Company for all acts, omission and defaults of the subcontractors (and those of the employees, agents and invitees of the subcontractors) relating to, or in any way connected with the Services, to the same extent as if they were the acts, omissions and defaults of Contractor. Contractor agrees to protect, defend, indemnify and hold harmless Company Group from and against all claims, demands, and causes of action of every kind and character arising from the acts, omissions and default of Contractor’s subcontractors to the same extent as if they were the acts, omissions and defaults of Contractor.

Contractor agrees to protect, defend, indemnify and hold harmless Company, its officers, directors, employees or their invitees, and any working interest owner or non-operator for whom Company Group is performing services, from and against all claims, demands, and causes of action of every kind and character arising from the acts, omissions and default of Contractor’s subcontractors to the same extent as if they were the acts, omissions and defaults of Contractor.
