Any confidential or proprietary information of XXXX disclosed to GFOL or the independent accounting firm in the course of the audit will be subject to a confidentiality agreement reasonably acceptable to GFOL to be signed by such independent accounting firm. GFOL shall have no right to audit any payment that was due and payable 18 months prior to any audit request.
