Authority to Delegate Sample Clauses

Authority to Delegate. The members have authority to: (1) designate one or more members to act alone in respect of any Company matter, and (2) delegate to third parties ministerial authority to conduct day-to-day operations of the Company.

Authority to Delegate. The Manager shall have the right, with respect to any of their powers or obligations as provided in this Agreement, to act through any of their duly authorized officers or any duly appointed agent, attorney, or attorneys-in-fact. Each such agent or attorney shall, to the extent provided by the Manager in writing, have the power of attorney, have full power and authority to do and perform each and every act and duty that is permitted or required to be done by the Manager as provided in this Agreement.

Authority to Delegate. The Trustee may execute any of the trusts or powers, perform any duties under the Trust Documents, and carry out any or all of its functions under this Trust Agreement either directly or by or through one or more delegates, agents or attorneys engaged by it to act on its behalf.

Authority to Delegate. The Adviser may, at its expense, select and contract with one or more investment advisers registered under the Investment Advisers Act of 1940 ("Sub-Advisers") to perform some or all of the services for a Fund for which it is responsible under this Agreement. The Adviser will compensate any Sub-Adviser for its services to the Fund. The Adviser may terminate the services of any Sub-Adviser at any time in its sole discretion, and shall at such time assume the responsibilities of such Sub-Adviser unless and until a successor Sub-Adviser is selected and the requisite approval of a Fund's shareholders is obtained. The Adviser will continue to have responsibility for all advisory services furnished by any Sub-Adviser.

Authority to Delegate. The Engineer, may from time to time assign and delegate authority to Engineer‟s representatives/assistants and may also revoke such assignments and delegations. The delegation or revocation shall be in writing and shall be applicable only after same has been notified in writing to the Contractor.

Authority to Delegate. (a) The GM shall have the right to execute an Administrative Service Agreement, which has been approved by BPPUS and acknowledged by the Board, to facilitate his duties under this Agreement. (b) The GM shall have the right to engage, appoint, remove or dismiss consultants or advisors provided the remuneration for such parties is included in the Approved Budget.

Authority to Delegate. The Board is responsible for operation of the Pool. The Board may delegate some or all of its responsibilities to the Chairperson or other Trustees between Board meetings. All responsibilities of the Pool not expressly delegated by the Board to the Sponsoring Association, to a Participating Member, to a Service Company, to a Financial Administrator, or other contractors, as authorized by Minnesota Rules, Part 2785.0800, are the responsibility of the Board.

Authority to Delegate. To the fullest extent allowable by law, the Investment Officer is authorized to delegate to the Adviser the authority to deposit, withdraw, invest, reinvest, transfer and otherwise manage the assets of the Portfolio.
