The 'Availability of Hosting Services' clause defines the provider's obligation to ensure that hosting services are accessible to the client for a specified percentage of time, often measured monthly or annually. Availability of Hosting services. Except as otherwise set forth herein, Licensor will use commercially reasonable efforts to make the Hosting Services available to Licensee with an uptime percentage of at least 99.8%, not including Scheduled Maintenance. The percentage availability will be measured monthly and be calculated using the amount of time, measured in minutes, in a given calendar month that the Hosting Services are not available as a result of a Service Interruption. For the purpose of measuring downtime, a Service Interruption (i) begins upon the earliest of an automated alert, Licensor personnel discovering a Service Interruption, or the creation of a trouble ticket and (ii) ends when an authorized Company representative agrees that the Service Interruption has been Resolved.
Availability of Hosting services. 2.1 The Client is responsible for the availability of the hardware and software, connections and other preconditions of the Client for making access to the system possible. 2.2 NOBEARS will endeavour to enable the Hosting services to be used with as little disruption as possible, but cannot guarantee this unless explicitly stated in a separate service level agreement. 2.3 NOBEARS is not liable for the non-availability or reduced availability of the Services as a result of power cuts or power disruptions, disruptions in telecommunications or the internet, defects in the Client's hardware and software and all other causes that are beyond NOBEARS's direct control. 2.4 NOBEARS has the right to temporarily close down the Hosting services or to limit the use of them for maintenance work or for adjustments to the system and it will inform the Client of this in advance. In that case the Client will not be entitled to compensation. 2.5 If after the Agreement ends the Client does not wish to extend its cooperation with NOBEARS, NOBEARS will cooperate with the transfer to a third party at NOBEARS's applicable rates. 2.6 If the amount of the allowed data traffic and disc space is exceeded, NOBEARS is entitled to charge reasonable additional costs without further notice. 2.7 Arrangements regarding service levels will be set out in a Service Level Agreement (SLA).

  • Availability of Verizon Telecommunications Services 3.1 Verizon will provide a Verizon Telecommunications Service to PNG for resale pursuant to this Attachment where and to the same extent, but only where and to the same extent that such Verizon Telecommunications Service is provided to Verizon’s Customers. 3.2 Except as otherwise required by Applicable Law, subject to Section 3.1 of this Attachment, Verizon shall have the right to add, modify, grandfather, discontinue or withdraw Verizon Telecommunications Services at any time, without the consent of PNG. 3.3 To the extent required by Applicable Law, the Verizon Telecommunications Services to be provided to PNG for resale pursuant to this Attachment will include a Verizon Telecommunications Service customer-specific contract service arrangement (“CSA”) (such as a customer specific pricing arrangement or individual case based pricing arrangement) that Verizon is providing to a Verizon Customer at the time the CSA is requested by PNG.

  • Availability of Service We will use reasonable efforts to make the Service available for your use on a continuous basis. The Service may be unavailable for short periods of time for regular or emergency system maintenance. We will endeavor to have our scheduled maintenance occur during non-peak hours. In addition, accessibility to the Service may be interrupted because of conditions beyond our control, including outages in Internet, cellular or other communications availability. We will use diligent efforts to re-establish the Services as promptly as possible. We do not promise the Service will always be available for your use. We may elect to discontinue this Service at any time. If we choose to discontinue the Service, we will provide you with reasonable notice in advance of that fact. We reserve the right at all times to take actions to protect our systems and information, including denial of access to users of the Service.

  • Availability of Utilities All utility services necessary for the construction of the Improvements will be available prior to the commencement of construction, and all utility services necessary for the proper operation of the Improvements for their intended purposes are available at the Leased Premises or will be available at the Leased Premises prior to the Final Disbursement Date, at commercially comparable utility rates and hook-up charges for the vicinity, including water supply, storm and sanitary sewer facilities, gas, electricity and telephone facilities. Lessee shall furnish evidence of such availability of utilities from time to time at Lessor's request.

  • Service Availability You understand that Service availability is at all times conditioned upon the corresponding operation and availability of the communication systems used in communicating your instructions and requests to the Credit Union. We will not be liable or have any responsibility of any kind for any loss or damage thereby incurred by you in the event of any failure or interruption of such communication systems or services resulting from the act or omission of any third party, or from any other cause not reasonably within the control of the Credit Union.
