Background Material. 2.1. Questionnaire for the general public
Background Material. GRDC Note: This Table 2 must include all Intellectual Property, Data, Items (including Existing Biological and Genetic Material) and Confidential Information that has been developed by GRDC independently of this Contract that is required by the Research Organisation for the purposes of conducting the Project. Background Material. If requested, the Contractor shall deliver to the Department and the SCA background material prepared or obtained by the Contractor incidental to the performance of this Agreement. Background material is defined as original work papers, notes and drafts prepared by the Contractor to support the data and conclusions in the final reports, and includes, but is not limited to, completed questionnaires and material in electronic data processing form, computer programs, other printed materials, pamphlets, maps, drawings and books acquired by the Contractor during the term of the Agreement and directly related to the services being rendered.

Background Material. 7.1 Nothing in this Agreement alters or transfers ownership in any Background Material, including any Intellectual Property Rights subsisting in Background Material.
7.2 Each party grants to each other party a non-exclusive, royalty-free licence to use its Background Material:
(a) during the Term - for the purpose of carrying out the Project in accordance with this Agreement; and
(b) during and after the Term - in conjunction with Project Material for purposes other than Commercialisation which are solely for research or academic purposes and only to the extent the Background Material is necessary for the other party to exercise the full benefit of the rights in the Project Material granted to it under this Agreement, BUT subject to the confidentiality obligations herein and any restrictions or obligations made known to the other party prior to that Background Material being used in the Project.
7.3 For the avoidance of doubt, no rights are given to a party to sublicense any rights in Background Material to a third party.

Background Material. 8.8.3.1 The Supplier retains ownership of all Background Material and Intellectual Property Rights (including any licences) in those materials owned by the Supplier at the date of the Contract.
8.8.3.2 The Supplier grants to the Authority a perpetual, worldwide, royalty-free, non- exclusive licence to use, modify, adapt, develop and enhance the background Material in connection with the Authority’s use of the Results. If any Intellectual Property Rights in the Background Material belong to a third party, the Supplier does not breach the Intellectual Property Rights of that third party and uses reasonable endeavours to procure an equivalent licence from that third party for the benefit of the Authority.
8.8.3.3 If the Supplier is itself a licensee of any Background Material, it grants to the Authority an authorised sub-licence, to use and maintain the relevant material. The Authority has the right under the sub- licence to transfer, novate or assign the benefit of the sub-licence to other Ordering Authorities, the replacement Supplier or to any other third party supplying services to the Authority.
8.8.3.4 The Supplier obtains at its own expense any licences from third parties necessary in order for it to fulfill its obligations under this provision and the Contract.
Background Material. Each Party shall remain the sole and exclusive owner of all right, title and interest in and to its Background Material. Neither Party acquires any rights to any of the other Party’s Background Material under this Agreement except that Consultant hereby grants and agrees to grant to the Company a worldwide, non-exclusive, perpetual, irrevocable, assignable, sublicensable (on multiple levels), royalty-free and fully paid-up right to use, copy, modify, distribute, display, perform, prepare derivative works of, make, have made, import, supply, sell and offer for sale any of Consultant’s Background Material that is disclosed, delivered or otherwise made available to the Company in connection with this Agreement, for the sole purpose of using the Services or Inventions.
Background Material. (a) If a party supplies to the other party any Background Materials, the supplying party authorises the receiving party to, for the sole purpose of fulfilling its obligations or exercising its rights under this Agreement, use and/or reproduce those Background Materials in whole or part including to create or develop Developed Material.
(b) The parties acknowledge that this Agreement does not transfer ownership of any Intellectual Property Rights comprised in any Background Material.
Background Material. 5.1 Nothing in this Agreement shall transfer or affect the ownership of a Party’s Background IP.
5.2 Unless otherwise specified in Item 9 of the Schedule, each Party hereby grants a non-excusive royalty free licence to each other Party to use its Background IP for the purposes of undertaking the Project, but not for Commercialisation.
5.3 A separate written agreement with respect to the use of a Party’s Background Material for Commercialisation may be negotiated in good faith between the relevant Parties and UniSA Ventures.
