The 'Background Screens' clause establishes the right of one party to conduct background checks or screenings on individuals involved in the agreement, such as employees, contractors, or representatives. Typically, this clause outlines the scope of permissible checks, which may include criminal history, employment verification, or credit checks, and may specify the timing and frequency of such screenings. Its core practical function is to help ensure that all personnel meet certain standards of trustworthiness or qualification, thereby reducing risk and protecting the interests of the party requiring the screenings.
Background Screens. We shall establish and maintain controls designed to ensure that employees and other third parties who require unencrypted access to the Personal Data and Your Confidential Information are suitably screened. We shall, to the extent permitted by applicable law, conduct criminal background checks as part of pre-employment screening practices for employees. We will not permit an employee or other third parties to have access to Personal Data or Your Confidential Information or perform material aspects of the Agreement if such employee or third parties have failed to pass such background check.
Background Screens. All Apollo employees undergo pre-employment background checks consistent with SOC 2 Type II requirements and applicable law, where permitted in the jurisdiction in which the candidate and/or employee are located. ▇▇▇▇▇▇ may rescind an employee’s offer letter if their background check is found to be falsified, erroneous, or misleading and will not assign personnel to any role in which such personnel has access to Customer Data unless a background check has been completed for that individual and no issues were found.
Background Screens. All of Supplier’s Personnel who shall: (a) have access to an Experian network; (b) have access to, or the capability to view or use Experian Confidential Information; or (c) be on Experian premises for more than one day and issued an access badge (for clarity, individuals who are issued visitor badges and are escorted onsite by an Experian staff member for the entirety of their visit do not fall under this criterion) must pass a five panel drug screen, criminal background check, and general background investigation, prior to any access or use by such Personnel. The scope and criteria of the required criminal and general background screenings shall, at minimum, be consistent with Experian Policies, including Experian’s Background Screening Criteria, a copy of which Experian shall provide upon request. Copies of the screening records must be retained in Supplier’s office for a period of three (3) years and may be audited by Experian at any time.

  • Background Screening VENDOR shall comply with all requirements of Sections 1012.32 and 1012.465, Florida Statutes, and all of its personnel who (1) are to be permitted access to school grounds when students are present, (2) will have direct contact with students, or (3) have access or control of school funds, will successfully complete the background screening required by the referenced statutes and meet the standards established by the statutes. This background screening will be conducted by SBBC in advance of VENDOR or its personnel providing any services under the conditions described in the previous sentence. VENDOR shall bear the cost of acquiring the background screening required by Section 1012.32, Florida Statutes, and any fee imposed by the Florida Department of Law Enforcement to maintain the fingerprints provided with respect to VENDOR and its personnel. The parties agree that the failure of VENDOR to perform any of the duties described in this section shall constitute a material breach of this Agreement entitling SBBC to terminate immediately with no further responsibilities or duties to perform under this Agreement. VENDOR agrees to indemnify and hold harmless SBBC, its officers and employees from any liability in the form of physical or mental injury, death or property damage resulting from VENDOR’s failure to comply with the requirements of this section or with Sections 1012.32 and 1012.465, Florida Statutes.
