Branch Locations. Dealer’s additional place(s) of business listed in Schedule D for the sale, rental, lease and service of Products, separate from Dealer’s Primary Location.
Branch Locations. The branch locations will be in a permanent structure, well-lighted, clean, properly maintained and clearly identified as the truck rental Contractor with whom the reservation was made.
Branch Locations. At all times during this Agreement, AD must maintain in the Territory a physical presence and a formal place of business from which it carries out its Distribution activities. If AD desires to Distribute Products outside the Territory or if AD desires to add an additional business location within the Territory, AD must receive prior written approval from Ameritech, and said location(s) may be considered "Branch Locations" for purposes of this Agreement. Ameritech's approval of any Branch Location may be conditioned, at its sole discretion, on one or more of the following: (a) AD enters into a separate Distribution Agreement with Ameritech whereby Ameritech makes a separate grant of appointment in the new Territory; (b) AD's annual sales objective level under this Agreement is modified by Ameritech to recognize the opportunities in the new Territory(ies); (c) AD establishing a physical presence in the new geographic area; (d) AD submits to Ameritech satisfactory written documentation regarding the AD's proposed activities and objectives for the marketing and sales of the Products as a result of the Branch Location. Said documentation will be deemed satisfactory at Ameritech's sole discretion. This factor is to ensure that expansion by the AD will not adversely affect the market coverage Ameritech expects in the Territory then assigned to AD; and, (e) Ameritech reserves the right to base its approval on other relevant business factors which are particular to the AD's request for a branch location.
Branch Locations. The AD agrees that marketing and sales of the Products requires the AD to maintain, at all times during this Agreement, a physical presence and a formal place of business in the Territory. If AD desires to market and/or sell Products outside the Territory, AD agrees it is not authorized to do so without prior written approval by Ameritech. Ameritech's approval may be conditioned, at its sole discretion, on one or all of the following: (a) Ameritech and AD enter into a separate Distribution Agreement whereby Ameritech makes a separate grant or appointment in the new Territory; (b) AD's annual sales commitment and sales objective level is modified by Ameritech to recognize the new Territory(ies), said modification, in content and form, will be at Ameritech's sole discretion. (c) AD submits to Ameritech written documentation regarding the AD's proposed activities and objectives in the marketing and sales of the Products in the new Territory(ies); said documentation will be deemed satisfactory at Ameritech's sole discretion. In the event AD violates this provision, Ameritech shall have the right, in addition to any other right that the Company may have, to terminate this Agreement immediately.
Branch Locations. At all times during this Agreement, Sales Representative must maintain in the Territory a physical presence and a formal place of business from which it carries out its Marketing activities.
Branch Locations. Unless the Owner is notified and consents, if the vehicle is not returned to the Owner on the date, time and location stipulated in the agreement, cover ceases and the vehicle will be reported stolen. Charges and penalties will apply until the vehicle is returned or recovered.

  • Business Locations Set forth on Schedule 6.20(a) is a list of all Real Properties located in the United States that are owned or leased by the Loan Parties as of the Closing Date.   • Data Location 1.1. The CONTRACTOR shall not store or transfer non-public COUNTY data outside of the United States. This includes backup data and Disaster Recovery locations. The CONTRACTOR will permit its personnel and contractors to access COUNTY data remotely only as required to provide technical support. (Remote access to data from outside the continental United States is prohibited unless approved in advance and in writing by the County.) 1.2. The CONTRACTOR must notify the COUNTY in advance and in writing of any location changes to CONTRACTOR’s data center(s) that will process or store County data.

(c) With respect to any property or assets of a Loan Party located on leased premises (other than Excluded Locations), Borrowers shall use commercially reasonable efforts to cause such third party to execute and deliver a Collateral Access Agreement for such location.
