Communications and Operations. Supplier shall: (i) perform regular backups sufficient to restore services to CUSTOMER within the agreed upon recovery times (or, if no specific recovery times have been agreed to by the parties, within a commercially reasonable period of time); (ii) encrypt all backup media containing CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information in accordance with the CUSTOMER Supplier Information Protection Guidelines set forth below; (iii) not store or replicate any CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information outside of Supplier’s premises without obtaining the prior written consent of CUSTOMER; (iv) not transmit, transfer or provide any CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information to any third party, or provide any third party with access to any CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information, without obtaining the prior written consent of CUSTOMER; (v) if any activities described in the previous clauses (iii) and (iv) are approved by CUSTOMER, maintain an inventory of the third parties and/or locations outside of Supplier’s premises that store or replicate any CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information, the third parties that receive or receive access to CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information, the purpose for storing, replicating, providing or providing access to such CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information, the manner in which such CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information was transmitted or otherwise provided to such third party, the transmission and encryption/protection method or protocol (where applicable) used in transmitting or otherwise providing such CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information, a description of the CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information that was transmitted or otherwise provided to such third party, the name of the CUSTOMER employee that approved such arrangement and the date such approval was obtained; (vi) when erasing or destroying CUSTOMER Confidential Information and CUSTOMER’s client’s Confidential Information, employ data destruction procedures that meet or exceed the Department of Defense Standard for Secure Data Sanitization (DOD 5220.22M)....

Communications and Operations. Seller shall: (i) perform regular backups sufficient to restore services to Buyer within any agreed upon recovery times (or, if no specific recovery times have been agreed to by the parties, within a commercially reasonable period of time); (ii) encrypt all backup media transported off-site containing Buyer Data; (iii) not transmit, transfer or provide any Buyer Data to any third party, or provide any third party with access to any Buyer Data, without obtaining the prior consent of Buyer; (iv) transfer all Buyer Data via secure, encrypted protocol. Alternatively an encrypted file containing Buyer Data can be transferred without use of an encrypted protocol. (v) when erasing or destroying Buyer Data, employ data destruction procedures that meet or exceed the NIST800-88 standard; (vi) use hard drive encryption for all laptops on which any Buyer Data is stored or that are used by Seller personnel to access any Buyer Data; (vii) maintain up to date malware detection and prevention on Seller’s servers and/or end user platforms that transmit, access, process or store Buyer Data; (viii) maintain a hardened Internet perimeter and secure infrastructure using firewalls, antivirus, anti-malware, intrusion detection systems, and other protection technologies as is commercially reasonable; and (ix) implement regular patch management and system maintenance for all of Seller’s systems that transmit, access, process or store Buyer Data.

Communications and Operations. This Section sets forth the rules governing the communications between the trading partners and required methods of operations which each is to use in sending and receiving Messages. By doing so, necessary agreements reached between parties are given legal binding effect. Communications and Operations. Vendor shall: 4.7.1. Perform regular backups sufficient to restore services to Altruist within the agreed upon recovery times (or, if no specific recovery times have been agreed to by the parties, within a commercially reasonable period of time); 4.7.2. Encrypt all backup media containing Altruist Proprietary Information or Client Data in accordance with the Altruist Vendor Information Protection Guidelines set forth below; 4.7.3. Not do (or allow any Contractor to do) any of the following without, in each case, obtaining the prior written consent of Altruist: (a) store or replicate any Altruist Proprietary Information or Client Data outside of Vendor’s premises, (b) transmit, transfer or provide any Altruist Proprietary Information or Client Data to any third party, or (c) provide any third party with access to any Altruist Proprietary Information or Client Data; 4.7.4. Notwithstanding the preceding clause (iii), in no event shall Vendor do (or allow any Contractor to do) any of the following: (a) store or replicate any Altruist Proprietary Information or Client Data outside of the United States, (b) transmit, transfer or provide any Altruist Proprietary Information or Client Data to any third party (including any Contractor) located outside of the United States, or (c) provide any third party (including any Contractor) located outside of the United States with access to any Altruist Proprietary Information or Client Data. None of the restrictions set forth in this clause (iv) may be waived or consented to by Altruist in any manner other than in the form of a written amendment to this Agreement that is set signed by an authorized signatory for Vendor and Altruist; 4.7.5. Network Penetration Testing - DST shall, on approximately an annual basis, contract with an independent third party to conduct a network penetration test on its network having access to or holding or containing Fund Data. DST shall have a process to review and evaluate high risk findings resulting from this testing.

  • Communications and Computer Lines Tenant may install, maintain, replace, remove or use any communications or computer wires and cables (collectively, the “Lines”) at the Project in or serving the Premises, provided that (i) Tenant shall obtain Landlord’s prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed, use an experienced and qualified contractor approved in writing by Landlord, and comply with all of the other provisions of Articles 7 and 8 of this Lease, (ii) an acceptable number of spare Lines and space for additional Lines shall be maintained for existing and future occupants of the Project, as determined in Landlord’s reasonable opinion, (iii) the Lines therefor (including riser cables) shall be appropriately insulated to prevent excessive electromagnetic fields or radiation, and shall be surrounded by a protective conduit reasonably acceptable to Landlord, (iv) any new or existing Lines servicing the Premises shall comply with all applicable governmental laws and regulations, (v) as a condition to permitting the installation of new Lines, Landlord may require that Tenant remove existing Lines located in or serving the Premises and repair any damage in connection with such removal, (vi) Tenant shall remove all Lines installed by or on behalf of Tenant, and repair any damage in connection with such removal, upon the expiration or earlier termination of this Lease (and if Tenant fails to complete such removal and/or to repair any damage caused by the removal of such Lines, Landlord may do so and Tenant shall reimburse Landlord for the cost thereof, as an obligation which shall expressly survive termination of this Lease), and (vii) Tenant shall pay all costs in connection therewith, including any fees charged by Landlord for Tenant’s use of the Building’s telecommunications capacity in excess of ▇▇▇▇▇▇’s pro rata share thereof. Landlord reserves the right to require that Tenant remove any Lines located in or serving the Premises which are installed in violation of these provisions, or which are at any time in violation of any laws or represent a dangerous or potentially dangerous condition.
